The Senior Associate will support the Office of the Corporate Secretary by managing Board and Committee materials, drafting resolutions, and maintaining internal governance frameworks. They will ensure compliance with Delaware corporate law and regulatory requirements while assisting with annual stockholder meetings.
Candidates should possess an undergraduate degree and preferably a paralegal certificate or experience in a corporate governance role. Proficiency in Microsoft Office and familiarity with Delaware corporate law or regulated entities is highly desired.

The Senior Associate, Corporate Secretary Paralegal will work with the Office of the Corporate Secretary of the OCC under the supervision of licensed attorneys. The Paralegal will assist the Office of the Corporate Secretary in administrative functions necessary to ensure that OCC’s Board and internal governance frameworks meet appropriate regulatory requirements, comply with Delaware corporate law, and fit the needs of the Corporation and its directors. The Paralegal will support the Office of the Corporate Secretary in ensuring that the Board of Directors understands and carries out its fiduciary and regulatory duties.
A successful candidate will demonstrate a strong attention to detail and understand general concepts of corporate governance.
