We are looking for a Senior Counsel-M&A to join our Legal team. Reporting to the Deputy General Counsel, Strategic Transactions & Technology, the Senior Counsel – M&A will be based in any North American city with a Clarivate office and will form part of a highly respected global legal team. This role will be a legal business partner supporting Clarivate’s corporate transactions, including mergers, acquisitions, divestitures, financing, complex commercial agreements, and more.
About You – experience, education, skills, and accomplishments
Juris Doctor (J.D.) degree from an accredited law school.
Active license to practice law and in good standing with the applicable bar association.
5+ years’ experience as an attorney working primarily on complex, multinational mergers and acquisitions, including at least 3 years at a large North American law firm as a corporate/M&A associate.

Excellent negotiation, organizational and deal management skills.
Enthusiasm for process improvement and client satisfaction.
Highly proficient in spoken and written English. Other language skills a plus.
Demonstrated ability to interact with and influence senior executive leaders.

What Will You Be Doing in This Role?
Lead legal support for Clarivate’s corporate transactions, including the review and negotiation of deal documents, assistance in structuring deals, and coordination of due diligence.
Lead a variety of general corporate projects.
Review and negotiate complex commercial agreements, as time permits.
Identify ongoing personal training and developmental needs as part of continuous career and professional development.
Some travel on an as needed basis.

Hours of Work
This is a full-time, permanent position working primarily during core business hours. Flexibility will be required to support colleagues and stakeholders across multiple global time zones.
This is a hybrid role with an expectation of working in the office up to three days per week.
Compensation
The expected base salary for this position is $192,000-$240,000 CAD per year/$165,000-$205,000 USD per year. This role is eligible for a 15% Annual Incentive Plan (AIP). Individual pay is based upon experience, education, skills, expertise, and other relevant factors.
