Foley Hoag seeks a corporate paralegal for the Business Department. Strong communication and interpersonal skills and ability to work successfully with attorneys, fellow paralegals and clients are necessary. The successful candidate must be a team player who is also capable of working independently in a professional environment that requires strong attention to detail while balancing competing priorities.
Responsibilities:
Prepare, file, and manage entity formation documents for corporations, partnerships, limited liability companies, not-for-profit organizations, and other entities.
Prepare and maintain corporate minute books, including charter documents, bylaws, state qualifications, and board and stockholder approvals.
Update and maintain corporate ownership records, including capitalization tables using Carta, Pulley, Excel, or other ledgers.
Support fast-paced closings for equity financings, debt financings, mergers and acquisitions, fund formations, and other corporate transactions, including preparing signature pages, soliciting signatures, drafting closing certificates, ensuring receipt of all closing deliverables, processing last-minute updates, and compiling final documents, signatures, and exhibits for closing sets.
Support due diligence production and review for corporate transactions using a variety of online document sharing platforms, including gathering and organizing responsive materials, coordinating updates across multiple internal and external stakeholders, summarizing materials, and reviewing corporate and ownership records.
Research, prepare, file, and track state corporate filing requirements to form, qualify, and maintainbusiness entities, including charter filings, foreign qualifications, and trade name (dba) filings.
Research, prepare, file, and track federal and state securities filings and amendments (i.e. SEC and state Blue Sky filings).
Prepare, file, and research UCC filings, including ordering and summarizing lien search results.
Maintain and organize client files and transaction workrooms.
Perform additional tasks as requested by attorneys and/or clients.
Qualifications:
Bachelor’s degree.
Strong interpersonal skills, with the ability to work effectively with colleagues at all levels of seniority, as well as with clients and other external parties, in a professional and responsive manner.
Ability to work independently and take responsibility of assigned matters, including anticipating next steps, identifying issues before they escalate, and proactively seeking guidance or asking questions when needed.
Strong analytical ability, with meticulous attention to detail and organizational skills necessary to manage multiple deadlines and priorities in a fast-paced environment.
Excellent written communication skills, including the ability to draft clear, concise, and accurate documents and correspondence, paired with strong oral communication skills that allow for confident, professional interaction with attorneys, clients, and other parties.
Proficient with standard office software, including Outlook and other Microsoft 365 applications.
Comfortable learning and adopting new legal technology tools, including automated closing tools, AI-assisted research and drafting tools, and other emerging software.
Experience using iManage, Docusign, and/or Carta preferred.
Compensation range is $69,000 – $87,000 commensurate with related experience and qualification. The salary of the candidate selected for this role will be set based on a variety of factors, including but not limited to internal equity, experience, specialty, and training. The above salary range (or hiring range) represents the firm's reasonable estimate of the range of possible compensation at the time of posting.
