Summary of Role
The Company Secretarial team provides secretarial and corporate governance services to the Chair, Board of Directors and Subsidiary entities. The team promotes best practice in corporate governance, ensuring compliance with AIB’s policies and guidelines, regulatory and statutory requirements, listing rules, company law and market practices.
This is an excellent opportunity for a motivated individual who is passionate about delivering value to stakeholders and working in a collaborative environment.
The successful candidate will support senior management in delivering company secretarial and corporate governance services to the Board and its committees.
The role requires strong initiative, excellent attention to detail and effective communication skills. The successful candidate will be capable of building and managing relationships at all levels, including with senior executives, and demonstrate the ability to learn quickly and adapt in a dynamic environment.
Key accountabilities
Assist in the preparation of Board and Committee meeting materials.
Support the delivery of the Annual Financial Report.
Support the completion of Regulatory submissions to the Central Bank of Ireland, Euronext, the Financial Conduct Authority, and the London Stock Exchange, Regulatory News Service.
Support compliance with the Market Abuse Regulation framework, including the management of restricted persons/insider lists and the delivery of associated training.
Support the timely delivery of the annual Board evaluation process.
Maintain accurate and up to date records for Directors, ensuring conflicts of interest, shareholdings and time commitments are accurately recorded at all times.
Support the completion of the annual, bi-annual and other periodic attestation processes for Directors, including suitability reviews.
Prepare and manage the Board Skills Matrix review process.
Support the Assistant Company Secretary and the Senior Management Team as required.
Respond to queries and requests in a courteous and professional manner, managing and directing communications as appropriate.
Contribute to the effective operation of the Company Secretarial team, support and pro-actively engage in team meetings as required.
Provide support for projects and ad-hoc requests as required.
Contribute to, and provide cover for, certain administrative activities within the team.

Strong written, interpersonal and communication skills.
A systematic and organised approach to managing workload, with strong prioritisation and time-management skills and the ability to respond effectively to changing priorities. Demonstrated ability to learn quickly, adapt, and work both independently and as part of a team.
The ability to handle highly sensitive information with discretion and maintain strict confidentiality.
A willingness to continuously develop new skills and competencies and embrace new challenges.
An interest in pursuing a corporate governance or company secretary qualification would be desirable.
