The firm’s core areas of practice include corporate, financial markets and funds, restructuring, intellectual property, litigation, real estate, structured finance and securitization, transactional tax planning, private credit and private wealth. Katten represents public and private companies in numerous industries, as well as a number of government and nonprofit organizations and individuals.
Healthcare Paralegal
Under the general direction of supervising attorney(s), the Paralegal Manager and according to established firm policies and procedures, the Corporate Department is seeking an experienced Paralegal to join its Healthcare practice group. Katten has a very active Healthcare practice that represents healthcare providers, payors, physician organizations, life sciences companies, and investors in complex healthcare transactions and regulatory matters.
Client billable hour requirement: 1,550 hours annually (130 client billable hours average per month).
The Healthcare Paralegal can be located in the Chicago, Washington D.C. or New York office. Katten offers a hybrid work model, allowing the flexibility to work both on-site and remotely on a regular basis (KattenFlex).
Essential Duties and Responsibilities include, but may not be limited to, the following. Other duties may be requested and/or assigned. Essential functions are primary job duties that an individual must be able to perform successfully with or without a reasonable accommodation. Healthcare-Specific Regulatory
Prepare organizational charts, step charts, and Change of Ownership (CHOW) filings for regulatory agencies.
Conduct healthcare regulatory due diligence, including exclusion screenings, licensure verification, and regulatory license tracking.
Monitor and summarize legislative activity, hearings, regulatory developments, and healthcare policy initiatives.
Maintain records of key healthcare legislation, amendments, studies, and regulatory guidance.
Manage regulatory filing trackers, third-party consent trackers, and compliance-related databases.
Support association management clients through member onboarding, governance administration, contract management, dues administration, and board support.
Coordinate with lobbyists, public relations consultants, and corporate partners on healthcare advocacy, policy, and brand-building initiatives.
Transactional
Assist with company formation, obtain EINs, IRS correspondence, and other regulatory registrations.
Draft and manage standard corporate documents, including resolutions, governing documents, and corporate filings.
Handle Secretary of State filings, annual reports, foreign qualifications, mergers, and corporate maintenance matters.
Conduct corporate due diligence, including lien searches, litigation searches, and foreign registration research.
Manage transaction execution and closing processes, including signature collection, closing checklists, deliverable tracking, closing binders, and post-closing organization.
Support regulatory aspects of healthcare transactions, including ownership changes, licensing requirements, and consent tracking.
Legal Research
Perform legal and regulatory research, including case law, statutes, regulations, administrative rules, and compliance requirements.
Monitor and analyze legislative and regulatory developments impacting clients and matters.
Perform special projects as requested.
Supervisory Responsibilities
This position has no direct supervisory responsibilities, however, has the authority to delegate and supervise work performed by Project Assistant and/or Paralegal I staff on a case-by-case basis.
Knowledge, Skills and Abilities
Bachelor’s degree and seven or more years’ progressive work experience in the healthcare practice area preferably in a law firm environment; or equivalent combination of education and experience.Paralegal certificate from an ABA accredited paralegal program a plus.
Proficient with working knowledge of Westlaw and other Internet databases.Proficient with working in MS Word, Excel, Outlook, and Adobe Acrobat.
Excellent interpersonal, verbal, and written communication skills.Ability to communicate with courtesy and diplomacy, efficiently follow written and verbal instructions, provide information, and maintain effective relationships with a diverse group of attorneys, clients, staff, and outside contacts.
Excellent organizational skills including record keeping, data collection, and system information.Ability to compile and analyze complex data and furnish information in detailed report format, written correspondence, e-mail, or verbally.
Exhibit high degree of initiative and critical-thinking skills in exercising independent judgment and making decisions in managing multiple priorities in a fast-paced, deadline-driven, detail-oriented work environment.Exhibit High degree of integrity and comfort in managing sensitive data.
Dependable team player who works collaboratively and cooperatively with others in a team-oriented environment.Ability to act independently and make decisions within scope of the position’s responsibilities.

In our Washington D.C. office, the annualized salary range for this position is $95,000 to $115,000. Actual pay will be adjusted based on experience and other job-related factors permitted by law.
