Corporate Paralegal
Reporting to the General Counsel, the Corporate Paralegal will provide the primary legal support for the Legal and Compliance Departments. The Corporate Paralegal will manage and lead all supportive aspects for general corporate work and transactions, as well as play a key role in defining new systems and processes and participate as an integral part of the legal team. This position will support general corporate, corporate governance, compliance, intellectual property and litigation matters. You will work with internal and external lawyers and internal clients to support a broad range of corporate matters, and you will have the ability to introduce and drive improvements to corporate legal functions.
Responsibilities
Perform research and writing for legal department on a wide variety of legal issues, i.e. health and safety; environmental; corporate; employment; international trade; securities and finance, and compliance and ethics.
Responsible for Corporate governance matters for domestic and international subsidiaries including (i) drafting minutes/actions of managers and governing bodies; (ii) creating and maintaining corporate records; (iii) preparing, processing and maintaining legal entity filings; and (iv) preparation of data sheets for entities.
Primary responsibility for domestic entities.
Liaison with international resources for international entities.
Maintaining, qualifying and registration of legal entities.
Manages the company’s entity management portal (CT Corporation/hCue).
Assist with the preparation of board and committee meetings, compliance and reporting.
Maintains and files corporate records, including resolutions, Board of Director meeting minutes, reports, etc.
Coordinates and obtains Board and Committee member signatures for documents and materials.
Manage the company’s Board and Committee electronic board portal (Govenda) for meetings and governance resources.
Assist with development, maintenance, and implementation of global Code of Conduct and legal compliance training.
Supporting execution of initiatives and policies, including the Code of Conduct and underlying policies.
Support other compliance activities, including compliance with state and local incentive programs related to the U.S. facilities.
Assist with maintaining the company’s intellectual property database.
Liaison with the company’s technology teams in coordinating recurring intellectual property review meetings.
Professionally handle legal and other matters involving confidential, proprietary and legally privileged documents and information through the Legal Department’s contract management system (Xakia).
Assist with negotiating, drafting, revising and implementing commercial contracts, including non-disclosure agreements (NDAs).
Assist in administration of outside counsel relationships; review billings/fees to project/engagement, to budget, to annual outside spend/budget; assist in periodic accruals of legal expenses.
Manage the Legal Department’s eBilling system (Brightflag) and processing of legal partner invoices to finance for payment, including setting up new vendors etc.
Responsible for maintaining the Legal Department internal intranet site as a resource for our global team members, including developing forms to automate legal processes.
Support Legal Department and various business functions with various complex and sensitive matters and special projects as needed.
Performs other related duties as assigned.
Basic Qualifications:
Bachelor’s degree Paralegal Studies or related fields
Excellent analytical and organization skills including ability to collect, structure, analyze and communicate data.
Ability to communicate effectively with a variety of contacts including outside attorneys, senior management, and internal business partners.
Excellent project management skills.
Must be extremely detail oriented, highly organized, dedicated and have the ability to work independently and within a team.
Exceptional attendance and punctuality a must.
Understanding of legal language and principles, research methods, and other related matters.
Excellent interpersonal skills.
Excellent time management skills with a proven ability to meet deadlines.
Ability to interact with people at all levels of the corporate structure, prioritize and handle numerous competing demands in a high-volume, fast-paced working environment.
Ability to maintain confidentiality, and to exercise discretion and good judgment.
Proficient with Microsoft Office Suite (Excel/Word/SharePoint/OneDrive) or related software.
Strong computer skills related to database management.
Preferred Qualifications:
Minimum 10+ years of experience, with a mix of large law firm and in-house corporate practice
Broad knowledge of the basic principles of state and foreign laws regarding legal entities and knowledge of corporate record keeping with respect thereto.
Experience reviewing, approving, processing and accruing for vendor and counsel invoices and other expenses.
Good business judgment and awareness of and compliance with legal privilege and confidentiality requirements; ability to complete tasks under pressure and/or strict deadlines; detail oriented; proactive and self-starter.

SVP/General Counsel, Senior Leadership Team, Board of Directors, and legal team (AGC, APAC counsel, and Global Trade Compliance team)
