What impact you will have
We are seeking a highly organized, detail-oriented, and proactive Group Legal Counsel to join our growing team. This role will provide critical support to the Legal Department across a variety of corporate, commercial, compliance, and administrative legal matters. The ideal candidate will ideally be based in the the US and possess professional fluency in both English and Spanish, as they will support legal matters and documentation involving Spanish-speaking stakeholders and operations in Spanish-speaking jurisdictions.
This is an excellent opportunity for a strong, commercially minded, high-performing legal professional who enjoys working in a fast-paced, international business environment and partnering closely with executive leadership, outside counsel, and cross-functional teams.
What you’ll do
Corporate & Commercial Transactional Support
Act as a strategic legal partner at the group level, advising, reviewing and supporting negotiations on large client project agreements, partnerships, and vendor/supplier contracts across entities and jurisdictions.
Support fundraising activity: coordinate diligence, review and negotiate term sheets, MoUs, subscription agreements, SAFEs/convertible instruments, and related financing documents alongside outside counsel and finance.
Review and negotiate a wide range of commercial agreements, from high-value client/vendor contracts to routine administrative documentation.
Partner with corporate finance on transactional matters, including entity structuring, intercompany agreements, and support for M&A or investment activity as needed.
Corporate Governance & Compliance
Lead entity management, board documentation, and corporate record maintenance across the group's legal entities, spanning multiple jurisdictions (including Spain, the US, Taiwan, Saudi Arabia, Australia, and India).
Own regulatory filings, corporate compliance requirements, and monitoring of key deadlines and renewals across all jurisdictions where the group operates.
Design and drive internal compliance initiatives and policy management, ensuring policies are actually usable and adopted, not just written.
Flag legal and regulatory risk proactively to leadership, with practical recommendations rather than just issue-spotting.
Global & Cross-Border Legal Support
Draft, review, and translate legal, corporate, and business documents between English and Spanish; support Spanish-speaking employees, vendors, customers, and legal advisors.
Coordinate with local counsel across the group's jurisdictions; including Spain, the US, Taiwan, Saudi Arabia, Australia, and India; to align global agreements with local law and practice. Note: the company is actively expanding internationally, so this footprint will likely grow.
Serve as a central point of contact for cross-border legal questions, helping the business navigate differing regulatory, employment, and contracting norms across regions.
Proactively build familiarity with the regulatory norms of new jurisdictions as the company expands into them, rather than waiting to be asked.
Flag where local law expertise or local counsel input is needed, and manage those relationships efficiently to avoid duplicated or unnecessary external spend.
Legal Operations & Efficiency
Own and modernize the company's legal operations function — contract lifecycle management, document repositories, matter tracking, and legal request intake.
Identify and implement process improvements, templates, and playbooks that reduce turnaround time and reliance on outside counsel.
Build and maintain a library of standard forms (NDAs, MSAs, SOWs, vendor agreements, employment-related documents) to accelerate day-to-day contracting.
Set and manage the outside counsel strategy: decide what should be handled in-house vs. externally, negotiate rates/scopes, and review external counsel work product for quality and cost before it reaches leadership.
Leadership & Collaboration
Work alongside another senior lawyer to cover the full scope of the group's legal needs - this is a genuine partnership role
Bring independent judgment to the table: proactively flag risks, propose alternatives, and voice disagreement constructively rather than simply executing instructions.
Operate effectively amid organizational change - the company's structure is actively evolving, and this role will need to adapt scope and priorities as that unfolds rather than expecting a fixed mandate.
Mentor and potentially oversee paralegal or junior legal support as the function scales.
What you’ll need
Law degree and membership in good standing of a bar of a U.S. State, preferably Texas.
Minimum 7–15 years of experience as a practicing attorney, ideally with a mix of law firm and in-house/corporate legal department experience.
Fully remote role — you can be based anywhere in the world; US preferred and maintaining U.S. business hours (Central Time) required.
Fluent in both English and Spanish (written and verbal).
Able to operate semi-autonomously with modest supervision
Strong commercial legal background
Industry experience in technology, fintech, or other relevant commercial sectors
Comfort working across a genuinely global legal footprint (currently Spain, the US, Taiwan, Saudi Arabia, Australia, and India, with further international expansion expected) - you don't need to already be an expert in each local law, but you should be willing and able to build familiarity with new regulatory norms as the company grows into new markets.
Demonstrated experience drafting, negotiating, and managing a broad range of commercial and corporate contracts across borders.
Experience supporting mid-large-scale fundraising, financing, or investment transactions (equity, debt, or venture-style deals).
Strong grounding in corporate governance, entity management, and regulatory compliance in a multi-entity, multi-jurisdiction structure.
Track record of managing outside/local counsel relationships across multiple countries and controlling legal spend.
Excellent judgment, organizational skills, and ability to prioritize across competing demands.
Ability to maintain strict confidentiality, professional ethics and handling highly sensitive information.
Proficiency with Microsoft Office Suite and document/contract management systems.
Preferred Qualifications
Experience supporting international, multi-entity business operations across more than one region (e.g., Europe, North America, Middle East, Asia-Pacific), and comfort operating in a company that is actively expanding into new markets.
Experience in engineering, manufacturing, technology, infrastructure, construction, or data center industries.
Prior experience building or improving a legal operations function from the ground up.
Notary Public certification (or willingness to obtain) is a plus.
