DESCRIPTION
The Principal Executive Compensation Partner is responsible for the design, administration, governance, and communication of executive compensation programs for a publicly traded company listed on the Swedish stock market. This role serves as the key subject matter expert supporting the Remuneration Committee, Board of Directors, executive leadership team, and shareholders on executive compensation matters, with a particular focus on global long-term incentive programs.
The position ensures that executive compensation arrangements are aligned with business strategy, shareholder expectations, Swedish corporate governance requirements, applicable tax and legal regulations, and global market practices. The role partners closely with Legal, Finance, Tax, Investor Relations, External Advisors, and HR colleagues worldwide to deliver effective compensation programs that support attraction, retention, and performance.
Executive Compensation Strategy
Support the development, implementation, and ongoing enhancement of executive compensation programs for senior executives and Board members.
Conduct market benchmarking and competitive analyses to ensure compensation programs remain aligned with market trends and shareholder expectations.
Provide recommendations regarding executive base salary, annual incentives, long-term incentives, and other executive compensation elements.
Long-Term Incentive (LTI) Program Design & Administration
Lead the design, implementation, and administration of global equity and long-term incentive programs, including performance share plans, restricted share plans, stock option programs, and other equity-based compensation arrangements.
Manage the full annual LTI cycle, including grant processes, vesting events, performance tracking, participant communications, and reporting.
Coordinate with external plan administrators, brokers, tax advisors, payroll providers, and legal counsel to ensure accurate plan execution.
Oversee compliance with applicable securities regulations, stock exchange requirements, insider trading restrictions, and disclosure obligations.
Evaluate program effectiveness and recommend enhancements to support business objectives and shareholder value creation.
Remuneration Committee & Board Support
Serve as the primary management liaison to the Remuneration Committee.
Develop high-quality committee and Board materials, including presentations, compensation analyses, benchmarking studies, decision papers, and meeting documentation.
Coordinate meeting agendas, annual governance calendars, and action tracking.
Prepare executive compensation proposals and supporting analyses for Committee and Board review and approval.
Ensure compliance with Swedish Corporate Governance Code requirements and company governance practices.
Monitor plan performance metrics and provide insights and recommendations to leadership and the Remuneration Committee.
Maintain data integrity and reporting accuracy across executive compensation and equity administration systems.
Develop executive compensation dashboards and Board-level reporting.
REQUIREMENTS
Bachelor's degree in Human Resources, Finance, Business Administration, Law, Economics, or related field.
7+ years of experience in executive compensation, total rewards, equity compensation, corporate governance, or related disciplines.
Experience supporting a publicly traded company, preferably listed on Nasdaq Stockholm or another major European stock exchange.
Demonstrated experience designing and administering executive and broad-based long-term incentive programs.
Experience preparing materials for Boards of Directors and Remuneration/Compensation Committees.
Strong knowledge of executive compensation governance, disclosure, and shareholder engagement practices.
Experience working with legal, tax, accounting, and regulatory matters relating to equity compensation.
Advanced analytical, financial modeling, and presentation skills.
Excellent written and verbal communication skills in English; Swedish language skills are preferred.
Preferred Qualifications
Experience supporting multinational or global organizations.
Familiarity with Swedish corporate governance requirements and executive remuneration regulations.
Knowledge of IFRS accounting requirements related to share-based compensation.
Experience with equity administration platforms and executive compensation databases.
Background working with external compensation consultants, law firms, and tax advisors.
