SymphonyAI is seeking an experienced Corporate Counsel (5–8 years) to join our Legal team. This role manages a broad range of commercial legal matters supporting our B2B operations across the Americas, with exposure to EMEA and APAC markets. The ideal candidate brings a blend of law firm experience and in-house acumen to negotiate complex technology contracts, advise cross-functional teams, and deliver pragmatic, business-oriented legal guidance that enables growth while protecting the company’s interests.
Remote role based in the U.S., with collaboration across time zones. Occasional flexible hours may be needed to support EMEA and APAC stakeholders.
Job Description
Responsibilities:
Contract negotiation and management
Draft, review, and negotiate a wide range of commercial agreements, including SaaS agreements, perpetual software licenses, reseller/distribution agreements, NDAs, professional services agreements, and SOWs.
Lead negotiations with counterparty counsel, balancing risk and commercial objectives.
Manage the contract lifecycle from initial negotiation through execution and post-close administration.
Commercial law support
Advise Sales, Product, Finance, and Operations on contract terms, legal implications, and risk mitigation.
Translate business needs into workable legal solutions and manage internal stakeholder expectations and timelines.
Provide guidance on negotiation strategies and commercial risk to non-legal colleagues.
Intellectual property in contracts
Review and negotiate IP ownership, licensing, and indemnification clauses.
Advise on IP implications of SaaS arrangements, data usage, and third-party technology integrations.
Identify and mitigate IP exposure in customer and vendor agreements.
Privacy, data protection, and compliance
Advise on privacy and data protection obligations (e.g., GDPR, CCPA, and other relevant standards) within commercial contracts.
Ensure agreements include appropriate data handling, security, and breach notification terms.
Support contracts and matters across the Americas, EMEA, and APAC regions.
Navigate multi-jurisdictional considerations in customer and vendor agreements.
Collaborate with global teams and manage external counsel in non-U.S. markets as needed.
Contribute to legal risk identification and mitigation strategies.
Required Skills & Qualifications:
Education: J.D. from an accredited law school; admitted to practice in at least one U.S. state.
Experience: 5–8 years of combined law firm and in-house experience.
Technology contracts: Demonstrated experience drafting and negotiating technology agreements, including SaaS and perpetual licenses.
Commercial acumen: Proven ability to balance legal risk with commercial outcomes; experience advising non-legal stakeholders.
Contract negotiation: Strong negotiation skills with the ability to resolve complex commercial issues pragmatically.
In-house legal operations: Ability to operate independently, prioritize effectively, and manage a diverse portfolio of matters.
IP fundamentals: Working knowledge of IP concepts (patents, copyrights, trade secrets) as they arise in commercial contracts.
Communication: Excellent written and verbal communication; skilled at distilling complex legal concepts for business audiences.
Self-direction: Strong organizational and time-management skills; comfortable working with limited supervision.
Preferred Skills & Qualifications:
Industry experience in retail, financial services, or banking.
Familiarity with GDPR, CCPA, and other data protection/privacy laws relevant to B2B operations.
Comfort using AI-assisted legal tools (e.g., Microsoft Copilot, Claude) for contract review, analysis, and legal research.
Experience working with geographically distributed teams across multiple time zones.
Deep familiarity with SaaS business models, cloud computing, and technology licensing.
Experience developing negotiation strategies and managing high-stakes commercial discussions.
Remote role based in the U.S., with collaboration across time zones. Occasional flexible hours may be needed to support EMEA and APAC stakeholders.
