Position Overview
The Associate General Counsel (AGC) is a senior legal leader responsible for providing strategic legal counsel and supporting the organization's legal, compliance, and risk management functions. Reporting to the General Counsel, this role partners with executive leadership and business teams to ensure the organization adheres to all applicable laws and regulations while proactively mitigating legal risks and supporting business objectives. The AGC provides practical legal guidance across a broad range of operational and strategic initiatives. The AGC assists in advising senior leadership on complex legal matters, including real estate transactions, commercial contracts, litigation management, and contractual negotiations, and may also support regulatory compliance, employment law, and/or corporate governance activities.
Key Responsibilities
Real Estate Transactions
Provide legal support for a range of real estate matters, including leases, property acquisitions and dispositions, easements, licensing agreements, and facility-related transactions.
Draft, review, and negotiate commercial and residential lease documents.
Advise property management team on structuring and terms of real estate transactions.
Support property management compliance with applicable housing regulations.
Advise internal clients on ongoing real estate matters throughout New England.
Contracts & Risk Management
Lead the drafting, review, negotiation, and administration of commercial contracts, including vendor agreements, professional services agreements, government contracts, purchase agreements, and other complex business transactions.
Identify and manage legal risks, implementing risk mitigation strategies to safeguard the organization’s assets and reputation.
Advise on insurance and liability coverage to protect against litigation and financial exposure.
Legal Strategy
Support the development and implementation of the organization's legal strategy in partnership with the General Counsel.
Serve as a trusted legal advisor to executive leadership and business partners, and support the General Counsel in advising the CEO, Board of Directors, and senior leadership team.
Prepare legal analyses, reports, and presentations for executive leadership and the Board.
Partner with executive leadership to align legal priorities with organizational goals, stakeholder expectations, and policies.
Monitor changes in laws and regulations that impact the organization and proactively adjust policies to mitigate risks.
Governance
Support the General Counsel in providing guidance on corporate governance, regulatory compliance, and ethical standards.
Support legal work related to partnerships, and corporate restructuring.
Government & Non-Profit Relations
Provide strategic legal counsel on interactions with government agencies, including regulatory bodies, funding entities, and policymakers.
Ensure compliance with laws governing tax-exempt organizations, charitable giving, and lobbying activities.
Oversee legal matters related to grant compliance, funding agreements, and government contracts.
Represent the organization in public policy discussions, legislative advocacy, and regulatory engagements.
Regulatory & Compliance Oversight
Ensure adherence to all relevant laws and regulations, including healthcare laws (HIPAA), labor laws (FMLA, wage and hour laws), and government contracting regulations.
Develop and support policies, procedures, and training programs to maintain compliance with industry and governmental regulations.
Manage internal investigations and regulatory audits, ensuring timely resolution and reporting.

Requirements
Education & Experience
Juris Doctor from an accredited law school required.
5 or more years of experience in real estate law and commercial contracts required.
Subject matter expertise supporting organizations in highly regulated industries.
Experience in healthcare law providing counsel on healthcare regulatory matters, including patient privacy, reimbursement policies, medical staff bylaws, and clinical compliance, preferred.
Experience in labor and employment law, including employee relations, workplace policies, and dispute resolution preferred.
Licensure & Certifications
Active bar license to practice law in Massachusetts, or an applicable state with bar reciprocity.
Skills & Competencies
Strong strategic thinking and decision-making abilities in complex legal environments.
Expertise in healthcare regulatory compliance, labor law, contract negotiation, and risk management.
Exceptional written and verbal communication skills for advising executives and stakeholders.
Ability to balance legal risk with organizational objectives in a mission-driven environment.
Demonstrated ability to manage outside counsel and collaborate effectively with executive leadership and cross-functional teams.

Must be able to obtain and maintain U.S. Government personnel security clearance as a condition of employment.

Our mission is to serve Uniformed Service Members, Retirees, Veterans and their Families through leadership of a nationally recognized health management program providing campus based services, and developing and managing mixed income housing along with various veteran support services.
The roots of BMHC extend back to 1798, when John Adams was president and Congress was meeting for only the fifth time. The new nation’s leaders recognized that foreign trade was necessary to grow the economy and that healthy merchant seamen were needed to enable that commerce. So Congress passed “An Act for the Relief of Sick and Disabled Seamen,” which provided funding for the Marine Hospital Service.
Over time the Boston-area marine hospital moved from Boston Harbor, to Charlestown to Chelsea, before its final stop in Brighton in 1940. By then the Seamen and Sailors Act, had expanded to include funding for a greater array of community services and the Marine Hospital Service had evolved into the Public Health Service which included a network of public hospitals under its umbrella.
In 1980 the Reagan Administration decided to close many of the hospitals around the country within the public hospital system, including Brighton Marine. But the service veterans who lived in the Allston-Brighton area were not ready to let it go. They formed an organization called the Allston-Brighton Aid and Health Group and successfully petitioned the federal government to allow them to take over the property and continue medical services for veterans. That led to a new business entity in 1981 called Brighton Marine Health Center. Veterans’ care continued to be a priority, but BMHC also became a landlord on the grounds -- operating the facility and managing the property for a burgeoning list of community-oriented health care tenants.
