Summary:
We are a US-based asset management firm that works in close collaboration with our global group companies — particularly those headquartered in the US — to provide asset management services across a diverse range of asset classes, with Japanese pension funds and institutions as our primary client base.
We offer a hybrid well-equipped remote working environment, including remote access and office mobile solutions, making this an attractive workplace for junior-to-mid-level attorneys who are considering a career transition away from a Big Four law firm or international law firm,.
Responsibilities:
Legal work conducted at our Tokyo office, covering: establishing and providing ongoing support for Cayman UT structures for traditional asset investments and Cayman UT/LPS structures for private asset investments; establishing and providing ongoing support for Japan LPS structures for private equity, direct lending, and private fund investments; establishing and providing ongoing support for real estate-related asset investment funds; establishing and providing ongoing support for publicly offered investment trusts and privately placed investment trusts; negotiating discretionary investment management agreements; filing special business operator notifications with FSA; advising on model portfolio services; and, in connection with our Korean subsidiary, advising on sub-advisory arrangements, model portfolio services, distribution agreements with local distributors, and Korean investment trust structures.
Legal work relating to general corporate matters beyond the asset management and product-related legal work described above, including corporate law and Financial Instruments and Exchange Act (FIEA) compliance in connection with general meetings of shareholders, board meetings, and similar corporate actions; labor and employment law; and other general corporate legal matters.
Monitoring of regulatory developments.
Reporting to the General Counsel-- East Asia on all matters within the scope of responsibilities described above.
Qualifications:
Must hold a Japanese bar qualification (bengoshi) with approximately 5 to 8 years of experience at a domestic major law firm or international law firm. In-house experience is also welcome.
Strong business-level English proficiency is required.
Legal experience in finance, and in particular asset management, is required.
Familiarity with US asset management regulatory issues is a plus.
Additional experience in M&A, acquisition finance, or real estate securitization is also a plus.
