Director of SEC Reporting and Technical Accounting
Lead SEC reporting operations, including the preparation and filing of 10-Qs, 10-Ks, and annual proxies. Manage technical accounting memos, internal controls, and external audit relationships for a clinical-stage biotechnology company.
Requirements
Requires a CPA and over 10 years of progressive finance and accounting experience, preferably with a public accounting background. Must possess deep knowledge of US GAAP, SEC requirements, and experience with biotechnology IPOs or public offerings.
Full job description
About us:
Braveheart Bio is a clinical-stage biopharmaceutical company focused on developing therapies for patients with hypertrophic cardiomyopathy (HCM) and other serious cardiovascular diseases. Our lead product candidate, BHB-1893, is a next-generation oral small-molecule cardiac myosin inhibitor (CMI) being developed for the treatment of obstructive HCM (oHCM) and non-obstructive HCM (nHCM). Braveheart’s goal is to improve the treatment options for these patients by enhancing speed of onset, depth of gradient response, systolic safety, reversibility and reducing prescribing complexity.
With a proven leadership team, a strong financial foundation, and a high-value late-stage asset, Braveheart Bio represents an outstanding opportunity for ambitious, mission-driven professionals to make a tangible impact in a high-profile and rapidly evolving therapeutic area.
The role:
The Director of SEC Reporting and Technical Accounting is an experienced accounting and finance leader that will help build and run SEC reporting processes of our newly public and fast-moving clinical-stage biotechnology company. Reporting to the VP of Finance, this individual will own SEC reporting operations and related internal controls, including the preparation of financial statements and drafting and filing of 10-Qs/10-Ks and annual proxy. This individual will also own technical accounting, including reviewing new contracts for accounting implications and owning the analysis and drafting of technical accounting memos. This is a hands-on role that will collaborate with various internal and external partners, including non-finance operating teams.
Key responsibilities:
Own the preparation and drafting of 10-Qs/10-Ks and annual proxy in accordance with US GAAP and SEC requirements on a timeline that meets internal and SEC reporting deadlines, including ensuring complete and accurate business updates, MD&A, financial statements and footnote disclosures.
Develop and maintain SEC reporting policies, procedures, and internal controls that can scale in a newly public high growth environment.
Manage external audit relationships and lead audit readiness processes.
Own the accounting for equity compensation (ASC 718), income tax (ASC 740), and other technical accounts as assigned.
Review new contracts, evaluate for proper accounting treatment, and team with FP&A to ensure proper budget and forecast treatment.
Prepare or, if appropriate, supervise an external specialist in the preparation of technical accounting memos ensuring completeness and accuracy of conclusions in accordance with US GAAP.
Administer the Company’s equity plan(s) including employee onboarding, grants, modifications, and terminations, coordinating with legal and HR as appropriate.
Manage the Company’s annual income tax requirements including extensions, returns, and provision, coordinating with external tax providers as appropriate.
Assist in the preparation of quarterly Disclosure Committee and Audit Committee communications.
Implement and optimize an equity administration system (E*TRADE/EEO).
Assist in the hiring and development of a small, high-performing accounting and finance team as the company scales
Required experience & skills:
10+ years of progressive finance and accounting experience, CPA required; public accounting background preferred
Strong knowledge of public company requirements, including SEC reporting, internal controls (SOX), financial planning, and cross-functional alignment
Deep technical accounting knowledge (US GAAP), including equity compensation (ASC 718), income tax (ASC 740), R&D accruals, clinical trial accounting, and pre-clinical/clinical stage company financials
Experience managing Big 4 or national firm audits
Prior experience supporting or executing a public offering (IPO, follow-on, crossover) preferred
Demonstrated experience building finance and accounting infrastructure from the ground up in preparation for and through a biotechnology IPO preferred
Excellent judgment, high integrity, and the ability to operate with minimal overhead in a fast-moving environment
The right candidate thrives in a nimble environment, brings public company rigor to a private-stage company, and can build scalable systems without adding unnecessary overhead.
Strong written and verbal communication skills with a collaborative, team-oriented approach
Ability to thrive in a fast-paced, dynamic environment and remain comfortable with change and ambiguity
Flexible, proactive, and hands-on mindset with a roll-up-your-sleeves, can-do attitude
Base Salary Range: $200,000 - $240,000
This role is also eligible for a competitive total rewards package, which may include an annual bonus, equity, and a comprehensive benefits offering.
We are an equal opportunity employer.
