Role Purpose

The Head of Enterprise Governance & Transformation is responsible for establishing, governing and continuously improving the organisation's enterprise operating model, governance framework, business process architecture, transformation portfolio and change governance.

The role ensures that strategy is translated into disciplined execution through effective governance, clearly defined ownership, standardised processes, robust performance management and controlled organisational change.

Acting as the central coordination point across all Executive functions, the role drives organisational alignment, accountability and continuous improvement while supporting the Board Governance Framework through structured reporting, action tracking and governance oversight.

Key Responsibilities

Enterprise Governance

• Own and continuously enhance the enterprise governance framework.
• Maintain governance structures, delegations of authority, committee terms of reference and governance policies.
• Ensure governance decisions are appropriately documented, communicated and implemented.
• Coordinate governance actions arising from Board and Executive Committees.
• Maintain governance registers, policy inventories and governance documentation.
• Monitor governance effectiveness and recommend improvements.
  

Enterprise Operating Model

• Own the enterprise operating model and ensure organisational structures, roles, responsibilities and decision rights remain aligned with strategic objectives.
• Develop and maintain enterprise-wide RACI matrices and process ownership.
• Identify organisational inefficiencies, duplication and control gaps.
• Drive operating model improvements across all business functions.
• Promote consistency in governance, accountability and execution.
  
  

Business Process Governance

• Establish and maintain the enterprise business process framework.
• Ensure all critical business processes have documented ownership, procedures, controls and performance measures.
• Lead process mapping, standardisation and optimisation initiatives.
• Facilitate cross-functional process redesign to improve efficiency and customer experience.
• Ensure processes reflect regulatory obligations and operational best practice.
  

Enterprise Transformation & PMO

• Establish and manage the enterprise transformation portfolio.
• Develop and maintain the organisation's project and programme governance framework.
• Coordinate strategic initiatives across all Executive functions.
• Monitor programme delivery, dependencies, risks and benefits realisation.
• Produce executive portfolio dashboards and transformation reporting.
• Escalate delivery risks and governance issues where required.
  
  

Change Governance

• Own the enterprise change management framework covering operational, technology, product, organisational and regulatory change.
• Ensure all material changes undergo appropriate business, operational, legal, compliance, risk and technology assessments before implementation.
• Chair or coordinate enterprise change governance forums.
• Maintain the enterprise change register and monitor implementation progress.
• Ensure post-implementation reviews are completed and lessons learned are embedded.
  

Performance Management & Executive Reporting

• Develop and maintain an enterprise performance framework aligned to strategic objectives.
• Design executive dashboards covering operational, commercial, governance and transformation performance.
• Monitor KPIs and strategic initiatives across all business functions.
• Produce management reporting for the Executive Committee and Board Committees.
• Track organisational action plans and ensure timely completion.

Policy & Procedure Governance

• Maintain the enterprise policy and procedure governance framework.
• Coordinate policy development, review, approval and publication.
• Ensure documentation remains current, controlled and consistently applied.
• Monitor policy review cycles and governance compliance.

Continuous Improvement

• Lead initiatives that simplify processes, improve efficiency and strengthen operational resilience.
• Promote standardisation and automation across business functions.
• Facilitate continuous improvement workshops with business owners.
• Develop governance and process maturity assessments.
• Recommend improvements based on audit findings, operational metrics, incidents and regulatory developments.

About You

Qualifications

• Bachelor's degree in Business Administration, Law, Finance, Governance, Project Management, Risk Management or a related discipline.
• Professional qualifications such as PRINCE2, PMP, MSP, MoP, Lean Six Sigma, CGI (ICSA), ITIL or Prosci Change Management are highly desirable.

Experience

• Minimum 8–10 years' experience within Banking, Payments, FinTech or other regulated financial services environments.
• Demonstrated experience in enterprise governance, business transformation, PMO, operational excellence or business process management.
• Experience working with Executive Management and Board-level governance structures.
• Strong understanding of corporate governance, regulatory environments and organisational design.
• Proven ability to lead cross-functional transformation initiatives.
