Position Summary
1823 Partners is seeking a Legal Intern to support its legal and governance function across a range of corporate, transactional, and tax matters. Working closely with the General Counsel and the broader legal and deal teams, the intern will gain hands-on exposure to the legal operations of a fast-growing, insurance-first asset management firm. The role spans corporate governance, transaction support, tax analysis, and the implementation of board reporting infrastructure, offering a unique opportunity to develop practical legal skills while contributing directly to the firm's build-out.
Key Responsibilities
- Governance — support corporate governance for the firm, as directed.
- Transaction assistance — assist the legal and deal teams across the transaction lifecycle by drafting and reviewing NDAs, term sheets, engagement letters and investment and fund documents; performing first-pass document review; and identifying legal, commercial and risk issues for attorney follow-up
- Tax analysis — support the research and prepare analyses on the tax treatment of investment structures, entities and transactions, including reviewing tax provisions in deal documents and summarizing findings to support structuring decisions.
- Board reporting software — support the project to identify a board reporting / board portal software, migrate and load prior meeting materials into the platform, and help establish repeatable processes for assembling and distributing board and committee materials.
Qualifications
- Currently pursuing a J.D. (or equivalent law degree); rising 2L or 3L preferred
- Demonstrated interest in asset management, private markets and corporate, fund or transactional law
- Strong legal research, drafting and analytical skills with exceptional attention to detail
- Coursework or prior exposure in tax, corporate governance or transactional law a plus
- Comfortable adopting and configuring new technology platforms, such as board portal software
- Ability to manage multiple workstreams, handle confidential information discreetly, and work both independently and as part of a team
- Excellent written and verbal communication skills
