About The Role

The Corporate Governance & Legal Coordinator provides administrative and legal support to General Counsel and Associate General Counsel & Corporate Secretary in coordinating and administering Board of Directors and Board Committee meetings, Board communications, and related governance activities.

The role provides administrative and project support on legal matters and special initiatives, as required. The Corporate Governance & Legal Coordinator is further responsible for supporting corporate governance processes, maintaining corporate records, preparing Board documentation, and ensuring that Board-related activities are conducted efficiently, accurately, and in compliance with applicable legislation, regulatory requirements, and the Bank's governance policies.

This full-time permanent position is based out of Head Office, Saskatoon, SK, located on First Nations land.

Here's what you will be doing:

Coordinate the planning and administration of Board of Directors and Board Committee meetings including the Annual Shareholder meeting.
Prepare meeting schedules, agendas, and supporting materials in collaboration with the General Counsel and Associate General Counsel & Corporate Secretary and business stakeholders.
Compile, review, and distribute Board packages within established timelines while maintaining strict confidentiality.
Maintain corporate records, minute books, Board resolutions, and governance documentation.
Assist the Associate General Counsel & Corporate Secretary in tracking action items arising from Board meetings and following up with responsible stakeholders to ensure timely completion.
Coordinate Board and Committee communications, correspondence, and information requests between directors, senior management, and other stakeholders.
Assist with the preparation and execution of written resolutions, director appointments, resignations, and governance-related documentation.
Support the annual Board calendar, director onboarding, and governance training initiatives.
Assist the General Counsel and Associate General Counsel & Corporate Secretary in maintaining compliance with applicable banking regulations, corporate governance requirements, and internal policies relating to Board administration.
Coordinate electronic Board portal administration, including uploading meeting materials, managing user access, and maintaining document integrity.
Organize director and senior management travel, meeting logistics, and other administrative requirements in relation to Board meetings, as needed.
Maintain filing systems and legal databases, ensuring records are complete, accurate, and readily accessible.
Assist with regulatory filings, corporate registrations, and other governance-related reporting as required.
Liaise with Board members, senior leadership, external legal counsel, regulators, and other stakeholders in a professional and confidential manner.
Provide administrative support to the Legal Department on special projects, transactions, regulatory matters, and other legal initiatives, as assigned.
Travel may be required for board meetings off site, which may include travel outside of regular business hours.

About You

Proven experience providing administrative support in an office environment.
Strong organizational skills and attention to detail.
Effective written and verbal communication skills, including the ability to interact professionally with directors, senior executives, regulators, and other stakeholders.
Proficiency in Microsoft Office (Excel, Word, Outlook, PowerPoint).
Ability to manage multiple tasks and meet deadlines.
Ability to work independently, exercise initiative, and follow through on assignments.
A positive attitude and willingness to learn.

Qualifications:

Office Administration Certificate or equivalent education required; a legal administrative certificate or similar legal administration education is considered an asset.
Two (2) years of experience working in an office environment and/or Bank is preferred.
Experience supporting a Corporate Secretary, Board of Directors, executive office, legal department, or law firm is considered an asset.
