Job Description:
The Real Estate Development Paralegal supports the legal, transactional, and governance activities that drive the company's real estate investments and development projects. Working closely with development professionals, outside counsel, lenders, investors, and other stakeholders, this role helps coordinate acquisitions, financings, developments, refinancings, and dispositions across the portfolio. As a shared resource to the Development team, the Real Estate Development Paralegal supports transaction execution, entity governance, compliance, due diligence, and closing activities. This role reports to the Managing Director of Development.
Responsibilities:
- Transaction & Closing Support: Support acquisitions, developments, financings, refinancings, and dispositions across the company's portfolio. Coordinate activities among development team members, outside counsel, lenders, title companies, investors, and consultants. Assist with transaction documentation, closing packages, and document execution while maintaining transaction checklists, milestones, and critical deadlines.
- Due Diligence Coordination: Support due diligence efforts for acquisitions, financings, developments, and dispositions. Gather and organize due diligence materials, coordinate information requests, track outstanding items, and maintain transaction files and data rooms throughout the deal lifecycle.
- Corporate Governance & Entity Management: Support the formation, qualification, restructuring, and dissolution of entities associated with development and ownership activities. Maintain organizational charts, governing documents, ownership records, resolutions, and legal files. Coordinate governance documents, annual filings, registered agent requirements, and entity compliance obligations.
- Legal Operations & Compliance: Maintain compliance calendars and track legal, financing, lender, and regulatory deadlines. Coordinate insurance certificates, compliance documentation, contract administration activities, and reporting obligations. Assist with lender, investor, audit, and regulatory information requests.
- Outside Counsel & Stakeholder Coordination: Serve as a primary liaison between the Development team and outside legal counsel. Coordinate document reviews, comments, revisions, approvals, and information requests. Facilitate communication among attorneys, lenders, investors, consultants, and internal stakeholders to support timely transaction execution.
- Development Team Support: Serve as a shared resource to the Development team by supporting transaction execution, governance activities, due diligence efforts, and project administration across multiple developments. Assist with recordkeeping, internal reporting, and process improvements that enhance project organization and efficiency.
Qualifications:
- Real Estate Transactions: Working knowledge of commercial real estate transactions, including acquisitions, financings, due diligence, and closings. Familiarity with title, escrow, loan documentation, and transaction coordination.
- Entity Governance & Compliance: Familiarity with entity governance, corporate records, organizational structures, and compliance requirements. Ability to maintain governing documents and track reporting and compliance deadlines.
- Communication: Strong written and verbal communication skills with the ability to work effectively with development teams, attorneys, lenders, investors, consultants, and other stakeholders. Comfortable coordinating information requests across multiple parties and active transactions.
- Organization & Project Management: Exceptional organizational skills with the ability to manage multiple projects, transactions, entities, and deadlines simultaneously while maintaining accuracy and follow-through.
- Problem Solving & Initiative: Strong critical thinking skills with the ability to identify issues, research solutions, anticipate needs, and escalate matters appropriately. Demonstrates ownership, accountability, and a proactive approach to supporting development activities.
- Technical Skills: Proficient in Microsoft Word, Excel, Outlook, and document management systems. Comfortable working with data rooms and transaction tracking tools.
- Team Fit: Thrives in a collaborative, entrepreneurial environment and works effectively with cross-functional teams. Maintains a positive, solution-oriented attitude while managing competing priorities and deadlines.
Education & Experience:
- Bachelor's degree in Legal Studies, Business, Real Estate, Finance, or a related field preferred. Paralegal Certificate preferred.
- 3-5 years of experience as a real estate paralegal, legal coordinator, transaction coordinator, corporate paralegal, or related role. Exposure to multifamily, affordable housing, mixed-use, hospitality, or commercial real estate projects is a plus.
- Experience supporting commercial real estate acquisitions, developments, financing transactions, and dispositions.
- Experience working with outside counsel, lenders, consultants, and internal stakeholders.
- Familiarity with entity formation and governance, title and escrow processes, commercial loan documentation, and real estate contracts.
Work Environment & Schedule:
This is a full-time, in-office position based on the 13th floor of our downtown Salt Lake City headquarters, with core hours Monday through Friday. Our office at Second + State offers expansive views of the city and surrounding mountains, access to a private balcony, and close proximity to a wide range of restaurants, cafés, and amenities within walking distance. The building also provides an on-site fitness facility and covered, year-round parking.
