Lead the end-to-end execution of Representations & Warranties Insurance (RWI) placements for complex M&A transactions. Provide risk advisory and coverage analysis while managing relationships with private equity sponsors, law firms, and insurers.
Requires a bachelor's degree and 4-7 years of experience in M&A, transactional insurance, or related financial services. Strong analytical skills and a deep understanding of purchase agreements and private equity structures are essential.

Howden Private Capital is the transactional risk arm of Howden, one of the world’s leading independent insurance brokers. We advise private equity sponsors, corporates, and law firms on Representations & Warranties Insurance (RWI), Tax Liability Insurance, Contingent & Structured Risk, and Credit Insurance across North America and globally. Our team executes complex M&A and capital markets transactions, providing tailored risk transfer solutions to support efficient deal execution and capital protection.
We are seeking a highly motivated, entrepreneurial Vice President to join our RWI practice. This role sits at the center of transaction execution, combining technical underwriting coordination, legal analysis, and client advisory. The Vice President will lead or heavily support the placement of RWI policies across a high volume of complex M&A transactions, collaborating closely with clients, insurers, and internal stakeholders. This role also plays a key part in client relationship management and broader platform integration across transactional insurance products.
