The role
Greensphere Capital is looking for a commercially minded Legal Counsel to take ownership of the day-to-day contractual and corporate legal work across GSI, Gaia Engineered Solutions and the wider portfolio of companies. This is a newly created, part-time role suited to an experienced commercial/corporate lawyer who is comfortable working independently across a broad and varied caseload, and who wants the flexibility of a home-based role with occasional time in London.
Key responsibilities
Commercial and contractual work (core focus)
Drafting and reviewing all types of contracts for our portfolio companies, including:
• NDAs
• Term sheets
• Supply agreements
• Operation and maintenance contracts
• Power purchase agreements (PPAs)
• Leases and/or option agreements in respect of land
• Employment and consultancy contracts
• IP licences
Corporate documents
Drafting and reviewing standard corporate documents, including:
• Share / Asset Purchase Agreements
• Articles of Association
• Shareholders Agreements
• Loan Agreements
• Ancillary completion documents - board minutes, resolutions, share certificates
Deal execution and ongoing legal support
• Managing contract execution via DocuSign
• Managing deal completion checklists
• Supporting onboarding and KYC processes
• Reviewing and updating company policies
• Providing broader ad hoc support on deal structuring, employment law matters and property/asset-related contracts as they arise
• Manage external counsel and off-site paralegals
About you
• Qualified solicitor with strong commercial and/or corporate experience
• Comfortable working across a broad and varied caseload; we expect most commercial/corporate skills to be transferable even where you haven't covered every contract type listed above.
• Prior in-house experience is a plus, but not essential.
• A self-starter, comfortable working independently and managing your own workload in a lean, part-time capacity.
• Happy with a predominantly home-based arrangement, with occasional travel into London.
