The Legal Counsel will manage day-to-day contractual and corporate legal work across the firm's portfolio companies. Responsibilities include drafting various commercial agreements, managing deal completions, and providing legal support on structuring and compliance.
The candidate must be a qualified solicitor with strong commercial or corporate experience. They should be a self-starter capable of working independently in a part-time, flexible capacity.

Greensphere Capital is a fund manager and the UK's largest female-owned venture capital firm, with more than 15 years at the forefront of pioneering sustainable investing. Our portfolio spans science-driven ventures and renewable energy assets, with the team bringing deep operational, investment, and venture-building expertise across land management, agriculture, food systems, supply chains, AgTech, nature-based solutions, renewables, and waste. We take an active, hands-on approach to supporting the companies we back, including on the fund and portfolio-level financial operations that keep the platform running smoothly.
Greensphere Capital is looking for a commercially minded Legal Counsel to take ownership of the day-to-day contractual and corporate legal work across GSI, Gaia Engineered Solutions and the wider portfolio of companies. This is a newly created, part-time role suited to an experienced commercial/corporate lawyer who is comfortable working independently across a broad and varied caseload, and who wants the flexibility of a home-based role with occasional time in London.
Drafting and reviewing all types of contracts for our portfolio companies, including:
• NDAs
• Term sheets
• Supply agreements
• Operation and maintenance contracts
• Power purchase agreements (PPAs)
• Leases and/or option agreements in respect of land
• Employment and consultancy contracts
• IP licences
Drafting and reviewing standard corporate documents, including:
• Share / Asset Purchase Agreements
• Articles of Association
• Shareholders Agreements
• Loan Agreements
• Ancillary completion documents - board minutes, resolutions, share certificates
• Managing contract execution via DocuSign
• Managing deal completion checklists
• Supporting onboarding and KYC processes
• Reviewing and updating company policies
• Providing broader ad hoc support on deal structuring, employment law matters and property/asset-related contracts as they arise
• Manage external counsel and off-site paralegals
• Qualified solicitor with strong commercial and/or corporate experience
• Comfortable working across a broad and varied caseload; we expect most commercial/corporate skills to be transferable even where you haven't covered every contract type listed above.
• Prior in-house experience is a plus, but not essential.
• A self-starter, comfortable working independently and managing your own workload in a lean, part-time capacity.
• Happy with a predominantly home-based arrangement, with occasional travel into London.
• A part-time role - up to 3 days per week - with flexibility on how those days/hours are structured.

• Competitive salary, c~£125,000 (FTE equivalent), pro-rated for the agreed working pattern and dependent on experience.

You'll join a small, senior team at a fund genuinely committed to sustainable and science-led investing, with the opportunity to build and own a critical function from a position of real trust - working directly with the General Counsel from day one and with support from a team of off-site paralegals.
