About this role
We are looking for a Tax Associate with 3+ years of experience to join a well-established full-service law firm's Tax, Trusts & Estates Department. You'll work closely with partners and clients on sophisticated domestic business transactions and tax planning for privately held businesses, high-net-worth individuals, family offices, and emerging companies.
What will you be doing?
Advising private companies (partnerships, S corps, C corps) on federal, state, and local tax aspects of mergers, acquisitions, dispositions, joint ventures, and restructurings
Drafting, reviewing, and negotiating tax provisions in transaction documents including tax indemnification, purchase price allocations, and partnership allocation provisions
Counseling high-net-worth individuals, family offices, and emerging companies on transactional tax planning and business structuring
Advising on pre-transaction restructuring matters including F reorganizations, asset contributions, and debt restructurings
Working closely with partners on income tax matters with a billable hour goal of 1, 900 hours
Key Requirements
Minimum 3-4 years of experience practicing income/transactional tax law (candidates with only 2 years may be too junior)
JD from an accredited law school (transcript required for submission)
Active California Bar admission or ability to obtain
Experience with transactional tax matters — not just general corporate work
Compensation expectations must align with the $230K-$350K base range (must make financial sense relative to bill rates)
