Greenvolt Next Romania is seeking a Legal Manager who will be responsible for managing all legal matters related to Greenvolt Next Romania's activities, providing legal advice to management and operational teams, overseeing corporate governance matters, supporting commercial and procurement activities, ensuring regulatory compliance and coordinating external legal counsel when required. This role will play a key part in supporting the continued growth of the business while reducing legal risks, strengthening internal legal capabilities and safeguarding the company’s interests.

Key accountabilities

Corporate & Governance Matters

  • Ensure full legal compliance and corporate governance across Greenvolt Next Romania entities.
  • Coordinate the preparation of shareholders’ and management resolutions, corporate documentation and statutory filings.
  • Maintain all corporate records, registers, licenses and authorizations up to date.
  • Manage interactions with public authorities, regulatory bodies and external institutions when required.
  • Support the incorporation, administration and maintenance of legal entities and SPVs, where applicable.
  • Monitor changes in legislation and advise management on their potential impact on the business
  • Ensure compliance with internal Group policies, procedures and governance standards.

Contract Drafting, Review & Negotiation

  • Draft, review and negotiate a broad range of commercial contracts, ensuring the protection of the company’s interests.
  • Support contract negotiations with clients, suppliers, subcontractors and business partners.
  • Ensure legal consistency and risk mitigation across all contractual relationships.
  • Develop and maintain contract templates and legal documentation standards.
  • Provide legal support throughout the contract lifecycle, from negotiation to execution and amendment.

Compliance & Risk Management

  • Ensure company activities comply with applicable Romanian and European legislation.
  • Identify legal risks and recommend practical mitigation measures.
  • Support the implementation of compliance programs, internal controls and legal procedures.
  • Provide guidance regarding corporate, commercial, civil, procurement and regulatory matters.
  • Assist with data protection, confidentiality and governance requirements.
  • Ensure proper management of legal deadlines, renewals, obligations and authorizations.

Dispute Prevention & Resolution

  • Proactively identify potential legal issues and support dispute prevention initiatives.
  • Manage legal claims and disputes in coordination with external legal advisors.
  • Support negotiations, settlements and resolution of conflicts when necessary.
  • Coordinate litigation matters handled by external law firms.

Legal Support to the Business

  • Provide practical and business-oriented legal advice to management and operational teams.
  • Support strategic decision-making by identifying legal implications and opportunities.
  • Assist sales, procurement, finance, operations and project teams on contractual and regulatory matters.
  • Prepare legal reports, presentations and internal communications.
  • Act as the primary internal legal point of contact for the Romanian business.

External Counsel Management

  • Coordinate and manage relationships with external law firms, notaries and legal consultants.
  • Optimize the use of external legal services and contribute to reducing external legal costs.
  • Ensure efficient allocation of legal matters between internal resources and external advisors.

Document Management

  • Maintain an organized legal repository for contracts, licenses, permits and corporate documents.
  • Monitor contractual obligations, renewal dates and legal deadlines.
  • Establish efficient document management processes and legal tracking systems.
  • Master’s Degree in Law.
  • Qualified Lawyer / Legal Adviser qualification preferred.
  • Minimum 5 years of professional experience in a law firm or as in-house legal counsel.
  • Strong knowledge of Romanian civil, commercial and corporate law.
  • Solid experience in drafting, reviewing and negotiating commercial contracts.
  • Experience supporting procurement, supplier and customer agreements.
  • Knowledge of compliance and corporate governance requirements.
  • Experience in managing external legal advisors and legal service providers.
  • Knowledge of the energy, renewable energy or infrastructure sectors is highly valued.
  • Strong ability to translate legal concepts into practical business recommendations.
  • Excellent analytical, negotiation and problem-solving skills.
  • Excellent Romanian and English communication skills, both written and spoken.
  • Strong organizational skills and ability to manage multiple priorities.
  • Ability to work independently in a fast-growing and dynamic environment.
  • High level of integrity, attention to detail and sound professional judgment.
