About this role
We are looking for a Mid-Level Corporate Associate with 4-6 years of experience to join Fox Rothschild's San Francisco office and handle a broad range of corporate, commercial, and transactional matters. You'll work directly with partners supporting the Architecture, Engineering & Design Professional Firms practice — this is a hands-on role where you'll be a key contributor from day one, not one of ten associates buried on a deal.
What will you be doing?
Managing mergers and acquisitions transactions with significant autonomy
Handling outside general counsel matters for corporations and pass-through entities
Drafting and negotiating commercial contracts, entity formations, and financings
Supporting ownership transitions and entity governance matters
Working directly with multiple partners (Laura Howard, Adam Siegel, Lori Sanders) and their clients
Key Requirements
4-6 years of corporate/transactional experience with real hands-on deal management
Juris Doctorate (JD) and active California bar license
Experience with M&A, corporate governance, and corporate formations
Strong drafting, negotiation, and analytical abilities
Ability to independently manage significant portions of transactions and lead deal teams
