Description:

As a (Senior) Underwriter focussing on insurance for Mergers & Acquisitions (Transaction Risk Insurance), you will form part of a dynamic team of professionals that focus on developing our regional portfolio. You will directly report to the Transaction Risk Insurance Manager Southern Europe and Latam and carry out selection, analysis, and pricing of policies, as well as negotiate the insurance terms and conditions with brokers and insureds in order to issue the final contractual documentation. You will be key in helping build profitable relationships with brokers and insureds and your role will fully support and comply with the company’s objectives and standards.

Responsibilities:

  • Analyse data relating to an account: study financial, regional/national economic trends and industry conditions in the assigned underwriting discipline.
  • Follow underwriting guidelines and submit underwriting, pricing and negotiations recommendations to the underwriting committee of Transaction Risk Insurance.
  • Autonomously run the underwriting process of complex M&A insurance projects.
  • Draft, negotiate and adapt policy terms for the specific risks and challenges an M&A transaction presents.
  • Coordinate and oversee the performance of external legal counsel representing the company in each M&A deal.
  • Develop and maintain relationships with brokers, lawyers, private equity firms, deal principals and colleagues from Tokio Marine HCC offices worldwide.
  • Attend off-site conferences, trade shows, seminars and meetings.
  • Coordinate and/or participate in special projects including underwriting standards, best practices and legal compliance.

Requirements:

  • Minimum 3– 5 years’ experience in a role focused on transactions, e.g. law firm or corporate legal department, advisory roles in financial services, private equity; or relevant experience in TRI underwriting.
  • Bachelor’s or master’s degree in Law.
  • Excellent written and oral communication skills in English and French or Italian. Spanish or Portuguese are a plus.
  • Advanced knowledge of legal exposures in transactions (taxation, breaches, litigation, price adjustment, damages, etc.).
  • Specific experience with negotiating or mediating representations and warranties or other transactional risk insurance solutions is a must.
  • Solid understanding of financial statements is a plus.
