Responsibilities

  • Act as named Company Secretary for companies within Surbana Jurong Group, if required by the Chief Legal Counsel

  • Handle the full spectrum of corporate secretarial work and manage a portfolio of companies in Singapore and overseas

  • Ensure compliance with statutory and regulatory requirements through the effective maintenance of corporate secretarial records and timely statutory filings

  • Provide corporate secretarial support for Board and Board Committee meetings, including the preparation of meeting materials and coordination of meeting logistics

  • Support the continuous improvement and transformation of corporate secretarial workflows, including the implementation of digitalisation initiatives

  • Liaise with corporate secretarial teams and manage corporate secretarial service providers across the Group in various countries

  • Support the development of systems and processes in accordance with corporate governance best practices and company secretarial principles

  • Manage the preparation and issuance of powers of attorney and other documents under seal

  • Provide corporate secretarial support for AGMs and EGMs, including notices, resolutions, and shareholder communications

  • Support corporate actions, including incorporation, restructuring, and striking off/winding up of branches/entities across the Group's various jurisdictions

  • Coordinate with Legal, Finance, Tax, and People & Culture on cross-functional matters requiring corporate secretarial support.

Requirements

  • Qualified Chartered Secretary with CSIS/ICSA qualification.

  • At least 10 years of corporate secretarial experience.

  • Ability to work effectively under pressure and manage tight deadlines.

  • Proficient in Microsoft Word and Excel, with strong attention to detail and document management skills.

  • Strong communication and interpersonal skills, with the ability to work collaboratively in a team environment as well as independently with minimal supervision.

  • Experience supporting listed companies would be an advantage.
