Senior Manager, SEC Reporting & Technical Accounting

Position Summary
newcleo is seeking a Senior Manager, SEC Reporting & Technical Accounting to support the company’s growth and transition toward a U.S.-listed public company.
Reporting to the Head of Technical Accounting and Consolidation, this role will lead SEC reporting activities, provide technical accounting expertise, and support the development of robust financial reporting processes across the Group.
The successful candidate will act as a key accounting advisor on complex transactions, ensuring compliance with SEC requirements, IFRS, and U.S. GAAP. This position will work closely with finance teams, external auditors, and senior stakeholders across an international organization.

Key Responsibilities
SEC Reporting & Financial Disclosures
- Lead the preparation and coordination of SEC reporting requirements, including Forms 20-F, 6-K, and other regulatory filings.
- Support the preparation of financial disclosures, including Management Discussion & Analysis (MD&A).
- Ensure accuracy, completeness, and compliance of SEC filings.
- Support the implementation and improvement of reporting processes and tools, including XBRL reporting requirements.
- Research SEC regulations and assess their impact on financial statements, disclosures, and reporting processes.
- Coordinate with internal teams and external auditors during reporting cycles.
Technical Accounting
- Provide technical accounting guidance on complex transactions under IFRS and U.S. GAAP.
- Prepare technical accounting memos and documentation supporting accounting conclusions.
- Support the development, maintenance, and continuous improvement of Group accounting policies.
- Monitor changes in accounting standards and regulatory requirements.
- Promote consistent accounting practices across international entities.
Process Improvement & Collaboration
- Partner with Finance, Accounting, Consolidation, Tax, Treasury, and other business functions.
- Support the enhancement of financial reporting systems and processes.
- Contribute to the continuous improvement of reporting quality, efficiency, and controls.
- Collaborate with external advisors and audit teams.
Required Qualifications
- Bachelor’s degree in Accounting, Finance, or related field.
- Certified Public Accountant (CPA) required.
- 7+ years of professional accounting experience.
- Strong experience with SEC reporting and technical accounting.
- Solid knowledge of SEC regulations, IFRS, and U.S. GAAP.
- Experience preparing or reviewing complex financial reporting disclosures.
- Strong analytical skills with the ability to interpret and apply complex accounting standards.
- Advanced Excel skills.
- Experience with financial reporting tools (Disclosure Management System experience is a plus ).
- Excellent written and verbal communication skills.
- Fluent English required.
Preferred Qualifications
- Big Four accounting firm experience preferred.
- Experience supporting a public company, IPO readiness, or SEC reporting environment.
- Experience with foreign private issuer reporting requirements.
- Experience with NetSuite or similar ERP/reporting systems.
- Experience working in a fast-growing international organization.
- Additional language skills (French or Italian) are a plus.
