KEY ACCOUNTABILITES

  • Provide core corporate secretarial support to the Legal team, with strong working knowledge of the Singapore Companies Act, ACRA processes and routine corporate secretarial documentation, including board and shareholder resolutions.
  • Draft, review and coordinate standard corporate secretarial documents, board resolutions and related approvals for Eastspring group companies, joint ventures, fund vehicles and relevant Asian entities.
  • Manage documentation and approval processes for key person appointments, directorship changes, board and committee changes, and related internal, local and Prudential Group approvals across multiple entities and jurisdictions.
  • Liaise with local teams, group companies, joint ventures and external corporate secretarial service providers to monitor filings, directorship updates and other required corporate secretarial actions, and help avoid reporting or regulatory breaches.
  • Coordinate annual board planners, director schedules and board meeting logistics for Eastspring Singapore and Eastspring Group, including collation and review of board papers and presentation materials, coordination with presenters, stakeholders and IT support, and drafting of detailed minutes covering strategic and business discussions.
  • Maintain oversight of board, committee and forum governance requirements across Eastspring entities, including terms of reference, composition changes, meeting requirements and governance updates.
  • Provide practical coordination, input and thought leadership on joint venture corporate secretarial support and the overall structure, composition and operation of forums and committees across relevant Eastspring entities.
  • Act as a key liaison with Prudential Group Secretariat on group secretariat initiatives, governance practices and periodic reporting requirements, including risk reports, litigation reports, material contracts and other required submissions.
  • Coordinate and liaise with Eastspring group entities on litigation, material contracts and other risk-related updates, including gathering inputs, tracking submissions and supporting timely reporting to Prudential Group Secretariat and other relevant stakeholders.
  • Maintain core corporate secretarial and legal administration records, including CorpPass administration, authorised signatory lists, specimen signatures, agreement registers, key templates, standard agreements and legal precedents.
  • Maintain oversight of Eastspring-related trademarks, including tracking key records and deadlines and liaising with external counsel on filings, renewals, updates and related trademark administration matters.
  • Build and maintain a practical corporate secretarial documentation and process library for the Singapore Legal team, adapting processes as administrative procedures, stakeholder needs and jurisdiction-specific requirements evolve.
  • Provide broader administrative, procedural and operational support to the Legal team, including document filing and storage, coordination of team meetings, finance and billing arrangements, and other resource support as required.
  • Proactively identify gaps, clarify requirements and drive follow-through where processes, ownership or requirements are unclear, incomplete, unstructured or changing.

REQUIRED SKILLS AND QUALIFICATIONS

  • Legal paralegal or corporate secretarial professional, with a degree or diploma in law, corporate governance or a related field.
  • Hands-on experience in corporate secretarial matters is required, ideally gained with a corporate secretarial service provider or in a similar role within a multinational company.
  • Strong understanding of core Singapore corporate secretarial requirements, including ACRA filings, board and shareholder resolutions, director and officer changes, registers and routine governance documentation.
  • Comfortable with a role that is not purely corporate secretarial and includes administrative, procedural and operational support for the Legal team as required.
  • Highly organised, disciplined and detail-oriented, with the ability to manage multiple workstreams, timelines and stakeholders across Singapore and other Asian jurisdictions.
  • Proactive and self-starting, with the confidence to follow up, clarify requirements, identify gaps and drive matters forward with limited supervision.
  • Comfortable operating in an evolving or unstructured environment where responsibilities, processes or documentation may not always be clear or complete.
  • Adaptable and practical in responding to changing administrative procedures, stakeholder expectations and jurisdiction-specific requirements.
  • Good communicator, with the ability to independently liaise and follow up with stakeholders at different levels, including local teams, directors, external service providers, Prudential Group Secretariat and corporate secretarial teams across other group entities.
  • Strong time management, follow-through and administrative coordination skills.
  • Proficiency in Microsoft Office, including Word, Excel and PowerPoint, is critical.
  • Curious, open-minded and receptive to learning about technology, tools and operational processes relevant to the Legal team; ability or willingness to leverage Microsoft Copilot and other AI tools is preferred.
  • Enthusiastic, collaborative and constructive, with a willingness to integrate with the broader Legal team, contribute positively to the team’s culture, and engage with the development of the wider firm’s strategy and business direction.
