About this role

The key responsibilities of the Sr. Legal Counsel will at least include the following:

  • Commercial Legal Support & Strategy Business Partnering
    • Serve as a trusted advisor to business leaders, supporting strategic decision-making while balancing commercial objectives and legal risk management.
    • Support strategic business initiatives, growth opportunities, and cross-functional projects.
    • Provide practical and solution-oriented legal advice on commercial, regulatory, and operational matters.
    • Identify emerging legal and business risks and proactively develop risk mitigation strategies.
    • Support M&A transactions, strategic partnerships, joint ventures, localization projects, and other business transformation initiatives as needed.
    • Monitor legal and regulatory developments and provide proactive guidance to business leaders on potential impacts and opportunities.
  • Contract Management
    • Draft, review, negotiate, and manage a broad range of commercial agreements.
    • Review and manage contract deviations and approval requests through internal systems and governance processes.
    • Provide guidance on non-standard procurement, supplier, customer, and confidentiality agreements.
    • Drive continuous improvement of contract management processes, templates, and approval workflows to enhance efficiency and consistency.
    • Partner with business stakeholders to facilitate commercially sound contracting strategies while maintaining appropriate risk controls.
  • Compliance, Risk Management & Training
    • Deliver legal and compliance training programs on key risk areas, including anti-bribery, competition law, data privacy, and contract governance.
    • Support compliance investigations, internal reviews, and channel partner due diligence activities.
    • Promote a culture of integrity, accountability, and ethical decision-making across the organization.
    • Advise management on compliance risk assessments and remediation plans.
    • Support implementation of compliance initiatives and monitoring programs aligned with Danaher and Cytiva standards.
  • Corporate Governance & Dispute Resolution
    • Provide legal support for entity formation, restructuring, governance, and deregistration matters.
    • Advise on corporate governance, delegation of authority, and internal control requirements.
    • Manage disputes, litigation, arbitrations, government inquiries, and settlement negotiations.
    • Coordinate with external counsel and relevant stakeholders to develop effective dispute resolution strategies.
    • Anticipate potential disputes and advise the business on preventative measures and risk mitigation.
  • Legal Operations & Organizational Impact
    • Drive legal process optimization, digitalization initiatives, and operational excellence projects to improve efficiency and business experience.
    • Develop practical legal tools, templates, playbooks, and self-service resources to empower business teams.
    • Collaborate with global and Danaher China legal teams to align local practices with global standards while addressing China-specific business and regulatory requirements.
    • Contribute to the development and implementation of legal and compliance strategies that support Cytiva China's long-term growth objectives.
    • Build strong relationships across functions and act as a proactive business partner who enables sustainable business growth through effective risk management.
