Position Summary

The Contracts Specialist I supports Cotton Holdings and its family of companies by managing contract development, negotiation, and administration across a range of business operations. This position requires experience in drafting and reviewing agreements, identifying contractual risk, and collaborating with project teams to ensure contracts align with operational needs. The role supports business growth by protecting company interests, maintaining compliance with applicable laws and regulations, and ensuring consistent contract processes.


Key Responsibilities

  • Draft, review, and modify contracts including master service agreements, statements of work, vendor agreements, and subcontractor agreements
  • Analyze contract terms and conditions to identify potential risks and recommend appropriate modifications
  • Ensure all contracts comply with company policies, industry standards, and applicable laws/regulations
  • Review and analyze requests for proposal and requests for quote to identify potential risks.
  • Support development and maintenance of standardized templates and processes
  • Negotiate contract terms with clients, vendors, and subcontractors; lead redlining and revision efforts
  • Collaborate with internal business units to achieve favorable and compliant contract outcomes
  • Maintain organized contract records and oversee proper execution and routing of agreements
  • Track milestones, renewal dates, deliverables, insurance requirements, and compliance obligations
  • Prepare contract summaries and reports for leadership
  • Identify, analyze, and mitigate contractual risks—particularly those related to construction, restoration, and logistics
  • Monitor changes in relevant laws, regulations, and industry standards that could affect contract terms
  • Ensure proper insurance coverage, indemnification provisions, and risk allocation in all agreements
  • Support dispute resolution by analyzing contract obligations and providing guidance to internal teams
  • Work closely with Legal, Finance, Operations, Business Development, and project teams
  • Manage standard contract matters independently while partnering with and working under the guidance of the Contracts Specialist II on complex, high-value, or high-risk agreements and negotiations.
  • Provide guidance to project managers on contract interpretation and compliance requirements
  • Conduct training sessions on contract procedures, requirements, and best practices


Skills, Knowledge and Expertise

Skills
  • Strong understanding of commercial contract principles and contract law
  • Excellent negotiation, redlining, and communication skills
  • Strong analytical skills with attention to detail and accuracy
  • Ability to manage multiple deadlines and priorities in a fast-paced environment
  • Proficiency with contract management systems and Microsoft Office Suite
  • Strong problem-solving skills and sound business judgment
  • Ability to remain composed and effective when working with internal clients under time-sensitive conditions Ability to work effectively in a team-oriented environment
Education
  • Bachelor’s degree in Business Administration, Finance, Legal Studies, or related field required
Professional Licenses, Accreditations and Certifications
  • Paralegal certification or contract management certification (CCCM, CCMP, or similar) preferred
Knowledge
  • Familiarity with construction industry contract standards (AIA, ConsensusDocs) preferred
  • Knowledge of insurance requirements, indemnification, and risk allocation principles
  • Experience with government procurement, disaster recovery contracting, or FEMA requirements is a plus
  • Understanding of multi-subsidiary corporate structures and workflows
