About this role
The Associate Company Secretary (CS) will lead the
corporate governance and compliance function for a fast-growing healthcare SaaS
company. The role is responsible for ensuring compliance with applicable
corporate laws, regulatory requirements, and governance standards while
supporting the company’s growth, operational transparency, and investor
confidence.
The CS will work closely with the CEO,
CFO, founders, investors, auditors, legal advisors, and leadership teams to
manage board governance, statutory compliance, regulatory filings, policy
management, and corporate documentation. The role also supports fundraising,
due diligence, risk management, and the development of scalable governance
processes suitable for a high-growth technology environment.
Requirements
- Manage board
meetings, shareholder meetings, agendas, minutes, resolutions, and
statutory records.
- Ensure
compliance with the Companies Act, Secretarial Standards, ROC filings,
FEMA regulations, and other applicable laws.
- Monitor
regulatory changes and ensure timely implementation of compliance
requirements.
- Strengthen
governance frameworks, compliance controls, and reporting processes.
- Identify
regulatory and governance risks and support mitigation measures.
- Maintain
compliance calendars, trackers, and reporting systems.
- Draft and
maintain corporate policies, governance documents, and compliance
procedures.
- Support
fundraising, due diligence, investor onboarding, and corporate
restructuring activities.
- Coordinate
with legal advisors, auditors, regulators, and government authorities on
compliance matters.
- Maintain
shareholder agreements, investor records, and related corporate
documentation.
- Work closely
with finance, HR, legal, operations, and leadership teams on compliance
and governance matters.
- Drive process
improvements, compliance automation, and reporting efficiency.
- Promote
organization-wide compliance awareness and governance discipline.
Mandatory
- Qualified
Company Secretary (CS) certification is mandatory.
- Experience in
healthcare SaaS, health tech, fintech, BFSI, or other regulated
industries.
· Strong experience in corporate governance, company
secretarial practice, and regulatory compliance.
- Good
understanding of Companies Act, Secretarial Standards, ROC compliance,
FEMA regulations, and corporate laws in India.
- Experience in
board governance, statutory documentation, and regulatory filings.
- Ability to
work with founders, investors, auditors, and senior leadership teams.
- Strong
communication, coordination, analytical, and organizational skills.
Preferred
- Exposure to
fundraising, investor due diligence, and corporate structuring activities.
- Familiarity
with compliance management systems, governance automation, and digital
documentation platforms.
- Experience
supporting governance improvements and scaling processes in high-growth
organizations.
