As Commercial Counsel, you will play a key role in providing strategic legal support for commercial transactions, ensuring compliance and mitigating risk while enabling the company to achieve its business objectives. The ideal candidate will be an experienced career attorney eager to continue developing their commercial practice and to gain hands-on experience in a dynamic and fast-paced environment. The Commercial Counsel will assist in contract drafting and negotiation, legal research, and providing day-to-day legal support to various business units around the world.
Key Responsibilities
Review, draft, and negotiate a diverse range of commercial agreements, including NDAs, Master Service Agreements, SOWs, client contracts, and other commercial contracts.
Collaborate with senior counsel and cross-functional teams, including Sales, Procurement, Finance, and Risk and Compliance, to ensure contracts align with legal and regulatory requirements and global business objectives and initiatives.
Maintain and update the company’s contract templates and ensure consistency in terms and conditions.
Provide legal advice and guidance to internal teams and key stakeholders on issues related to commercial transactions, intellectual property, data privacy, and regulatory compliance.
Assess and manage legal risks associated with business activities and propose strategies to mitigate and effectively manage those risks.
Support the development and implementation of legal templates, policies, processes, and best practices to enhance the efficiency and effectiveness of commercial operations.
Stay current with changes in laws and regulations that impact the business, while proactively communicating relevant updates to stakeholders.
Assist in resolving disputes and claims related to commercial contracts, and collaborate with external counsel when necessary.
Participate in and facilitate training sessions for internal teams to enhance their understanding of legal issues and risk management.
Qualifications
Law Degree (JD, LLB, or equivalent) from an accredited law school with strong academic credentials
Admission in good standing to practice law in relevant jurisdiction
3-5 years of experience in commercial transactions, preferably in-house or at a law firm specializing in corporate and commercial law.
Substantive experience in contract/commercial law, negotiation, and drafting for global companies.
Experience with data privacy laws (e.g., GDPR, CCPA), intellectual property issues, and other regulatory frameworks a plus.

Excellent communication and interpersonal skills for interacting with internal and external stakeholders.
Integrity and confidentiality in handling sensitive legal matters.
Ability to work independently and manage multiple priorities and urgent matters.
Familiarity with contract management systems (e.g., SAP, Salesforce, and DocuSign).
Strong organizational and data management skills, with keen attention to detail.
Proficiency in MS Office Suite (Excel, Word, PowerPoint), Google Workspace, and database tools.
