COMPENSATION: $185,000 - $195,000 + 20% Bonus Potential

PURPOSE
The General Counsel serves as the company's chief legal officer and a key strategic partner to executive leadership and the Board of Directors. This role is responsible for overseeing all legal, regulatory, and compliance matters for VASA Fitness and for providing sound, business-oriented legal counsel in support of a high-growth, multi-state operating platform.
The General Counsel will focus on enterprise risk management, corporate governance, employment and labor, regulatory compliance, commercial contracting, and strategic transactions, while ensuring legal processes scale effectively with the business.
PRIMARY RESPONSIBILITIES
The duties and responsibilities of this position include, but are not limited to, the following:
Executive Leadership & Strategic Partnership
- Serve as a trusted legal and business advisor to the CEO, executive leadership team, and Board of Directors.
- Partner closely with private equity sponsors on governance, transactions, and strategic initiatives.
- Provide clear, practical legal advice that balances risk mitigation with business growth and operational execution.
Corporate Governance & Compliance
- Oversee corporate governance for all entities, including board materials, resolutions, minutes, and corporate records.
- Ensure compliance with applicable federal, state, and local laws across all operating jurisdictions.
- Lead enterprise compliance initiatives, including ethics, consumer protection, privacy, and regulatory requirements.
Employment & Labor
- Serve as the senior legal advisor on employment and labor matters in partnership with People Operations.
- Advise on wage and hour compliance, employee relations, investigations, policies, terminations, and litigation risk.
- Support HR leadership on evolving employment law issues impacting a large, hourly workforce.
Commercial Contracts & Operations
- Oversee the drafting, negotiation, and management of a wide range of commercial agreements, including vendor, supplier, technology, software, marketing, and licensing contracts.
- Establish scalable contract templates, approval frameworks, and legal processes to support growth and operational efficiency.
Litigation, Risk & Insurance
- Manage all litigation, disputes, claims, and investigations, including oversight of outside counsel.
- Oversee insurance coverage, claims management, and enterprise risk mitigation strategies.
Real Estate (Supporting Role)
- Provide legal oversight for commercial real estate matters in support of development and operations, including leasing, amendments, and construction-related agreements.
- Partner with internal teams and external counsel to ensure transactions are consistent with company standards and risk tolerance, without serving as the primary day-to-day negotiator.
Legal Department Leadership
- Build, lead, and mentor the internal legal function and manage relationships with external counsel.
- Oversee the legal budget with a focus on efficiency, prioritization, and cost control.

- Experience operating in fast-paced, private equity--backed environments.
QUALIFICATIONS
- 10+ years of progressive legal experience, including significant in-house experience.
- Prior experience as a General Counsel, Deputy GC, or senior in-house attorney strongly preferred.
- Experience supporting multi-unit, consumer-facing, or highly regulated businesses.
- D. from an ABA-accredited law school
- Active bar admission in at least one U.S. jurisdiction (Colorado or Utah preferred or ability to obtain single-client license)
- Broad legal background spanning employment law, corporate governance, contracts, compliance, and transactions
- Demonstrated experience managing outside counsel and legal spend.
WORKING CONDITIONS
Primary work in an office and fitness facility environment. Regular travel to company locations, meetings, and events across operating regions.
PHYSICAL AND MENTAL ACTIVITIES AND REQUIREMENTS
- Talking: Especially where one must frequently convey detailed or important instructions or ideas accurately, loudly, or quickly.
- Physical Strength: Sitting, standing, and walking. Must be able to lift, push, pull, and move a minimum of 30 pounds.
- Reasoning Ability: Ability to deal with a variety of variables under limited standardization. Able to interpret various instructions and relay instructions to clients.
- Attendance is an essential duty of the position. Employees must work regularly scheduled shifts, during business hours to assist members and sell services in-person.
