Job Description

1. Perform as a company secretary and share registrar for UOB Thailand Group. This includes performing as a secretary to Board, EXCO, AC, BROC and shareholder meetings for the Bank and its subsidiaries, taking accurate and complete minutes, informing relevant management on the resolutions, and following up on the resolution implementation, as well as other assigned responsibilities.

2. Arrange, oversee and ensure that all meetings of the Board of Directors and Board Committees, as well as shareholders for UOB Thailand Group comply with the applicable laws, regulations, Articles of Association, charters, and best practices.

3. Prepare memos (related to secretariat work) and submit to UOB Thailand BOARD, BROC, AC, NCC and EXCO and also its subsidiaries for approval or notation.

4. Prepare the Annual Report (BROC Report, AC  Summary Report, AC  Opinion, Information on Directors and Shareholding of the Bank)  and present to AC, BROC and Board meetings.

5. Oversee the storage and maintenance of UOB Thailand Group’s important documentation such as the Affidavit, Memorandum of Association and Articles of Association, Shareholder Register.

6. Safe keeping the original contracts for UOB Thailand Group.

7. Notify and provide response to regulators (i.e. BOT, MOC, OIC, and SEC) within company secretariat's responsibilities.

8. Prepare, update and safe keeping UOB Thailand Group's POAs and authorized signatories (SVS).

9. Act as the center for safe keeping the authorized signatories of other banks.

10. Act as a contact officer for UOB Thailand Group in relation to Thai Bankers' Association (TBA) and Association of International Banks (AIB).

11. Attend TBA member bank meeting and prepare the minutes for submit to MC.

12. Act as the center for collecting meeting reports from various representatives who attended meetings on behalf of the Bank.

13. Act as a contact point in screening/sorting mail correspondences to responsible BUs of UOB Thailand Group

14. Handle director's periodic remuneration payment and relevant matters for UOB Thailand Group.

15. Review directors’ qualifications throughout the term of directorship to ensure that the qualifications comply with regulatory requirements including preparing and submission director declaration form to relevant parties.

16. Seek approval from the Bank of Thailand for the appointment and reappointment of directors of the Bank.

17. Responsible for registrations with Ministry of Commerce, e.g. change of directors, amendment the Articles of Association / Memorandum of Association.

18. Provide both internal and external training programs/courses to the directors of UOB Thailand Group to enhance the effectiveness of their directorship performance.

19. Provide other secretariat support as assigned.

Job Requirements:

1.Minimum 7–15 years of relevant experience in corporate secretarial roles, preferably within the banking or financial services sector.

2.Proven track record of managing board and committee governance processes.

3.Strong understanding of corporate governance frameworks, banking regulations, and compliance requirements.

4.Proficiency in preparing board papers, minutes, resolutions, and statutory filings.

5.Experience in NDA report.

6. Good command in English.
