About the role
The Project Commercial Director is a critical senior-level position representing UGL O&M as a sponsor organisation in the consortium developing and delivery of a large-scale Public-Private Partnership (PPP). Representing UGL O&M, the Project Commercial Director will oversee the commercial and contractual aspects of these structures, ensuring alignment with sponsor objectives, stakeholder commitments, and project agreements.
This role is integral to managing complex commercial position and risks along with joint ventures structures/ partnership models or delivery vehicles. The position requires a strategic leader with expertise in large infrastructure projects, collaborative ventures, and risk management in dynamic environments.
Key responsibilities
Develop and implement commercial strategies for both project consortia and venture structures to ensure financial sustainability and corporate value maximisation.
Lead the evaluation and mitigation of commercial risks across project consortia and venture structures while ensuring adherence to corporate
Collaborate with external and internal teams to meet both short-term financial objectives and long-term sustainability goals within SPVs and ventures.
Input into, review, negotiate, and manage all project agreements, including PPP project agreement, SPV agreements, shareholder agreements, concession agreements, EPC and O&M contracts, and funding documents for equity or debt arrangements.
Develop and maintain strong relationships with consortium partners to manage alignment with joint objectives around funding, deliverables, and risk management.
Provide commercial leadership on behalf of the sponsor while optimising shared objectives in venture partnerships or similar governance models.
Support the development of key performance indicators (KPIs) and dashboards to track performance across SPVs and ventures and report these findings to relevant boards and sponsor organisations.
About You
Degree qualified in a Law, Finance or Quantity Surveying discipline is essential.
Minimum 5 years’ experience in a Commercial Manager/Commercial Lead role for an organisation in a large-scale PPP contract
Leadership maturity to be able to interact with and influence internal and external stakeholders.
Ability to achieve outcomes in an environment of managing complex stakeholder relationships, including key business partners.
Knowledge of contracts, consortium and joint venture agreements, financing contracts, legal terminology, Australian and NSW legislative requirements that apply to the Power Network industry.

UGL Regional Linx was established in 2021, after parent company, UGL Limited was selected to deliver operations and maintenance of rail infrastructure for the Country Regional Network (CRN). This network ensures the safe movement of people and goods throughout the regions of NSW, and links Sydney with many important regional centres.
UGL Regional Linx commenced operations on January 30 2022 and works on behalf of the client, Transport for NSW (TfNSW) and will be responsible for managing an important network of assets. As part of its operation, UGL Regional Linx’s scope of work includes:
• Network operations
• Rail infrastructure maintenance and implementation of a new train control system - UGL’s proprietary system, Sigview.
• Asset and property management, and
• Safety, access, performance, and environmental management.
UGL Regional Linx has made a strong commitment to local and indigenous employment, further strengthening the organisation’s commitment to regional NSW. As part of its operations, UGL Regional Linx established its head office and Network Control Centre in the heart of the Central West, Orange, NSW.
The CRN network includes:
• 2,386 route kilometres of operational passenger and freight rail lines, including 996 km of branch line track used predominantly for haulage of grain, with lower mass and speed limits than other parts of the network
• 3,139 route kilometres of non-operational lines
• 27,000 hectares of land and infrastructure
• 1,312 level crossings (300 active)
• 1,200 property assets (including 356 heritage sites)
• 600 rail under bridges and 384 road overbridges
