The Opportunity
We are currently seeking an experienced Commercial Manager to play a pivotal role in strengthening commercial governance across our Rail & Technology Systems projects, both pre‑ and post‑contract award.
About the role
Reporting to the National Commercial Manager, you will be responsible for leading the commercial framework across complex rail and technology projects. You will provide expert commercial advice, manage contractual risk, support project teams, and ensure strong compliance with UGL’s governance and commercial standards.
This role is critical in protecting UGL’s commercial position while enabling successful project delivery.
Key responsibilities include
- Lead pre‑contract reviews of customer contracts to ensure alignment with UGL policies and risk appetite
- Negotiate commercial terms and conditions with clients to optimise outcomes and manage risk
- Review and advise on major subcontract agreements, ensuring appropriate pass‑through provisions
- Provide ongoing commercial and contractual advice to project teams, including claims and dispute management
- Apply commercial risk analysis and develop solutions to complex contractual issues
- Manage major claims in collaboration with Legal teams
- Build and maintain strong relationships with clients, suppliers and internal stakeholders
- Support and mentor project commercial and contract teams to ensure consistent governance and compliance
- Contribute to continuous improvement of commercial processes and systems
Requirements to be successful.
- A degree in Commerce, Quantity Surveying, Construction Management, Law, Business, Economics or similar
- 5+ years’ experience in senior commercial or contract management roles
- Demonstrated experience working as a Commercial Manager within a construction or infrastructure environment
- Strong knowledge of contract drafting, assessment and interpretation
- Proven ability to manage commercial risk, claims and complex contractual matters
- Excellent communication and stakeholder management skills
- A collaborative leadership style with experience coaching and mentoring commercial teams
- The ability to work autonomously in a fast‑paced, multi‑project environment

UGL Regional Linx was established in 2021, after parent company, UGL Limited was selected to deliver operations and maintenance of rail infrastructure for the Country Regional Network (CRN). This network ensures the safe movement of people and goods throughout the regions of NSW, and links Sydney with many important regional centres.
UGL Regional Linx commenced operations on January 30 2022 and works on behalf of the client, Transport for NSW (TfNSW) and will be responsible for managing an important network of assets. As part of its operation, UGL Regional Linx’s scope of work includes:
• Network operations
• Rail infrastructure maintenance and implementation of a new train control system - UGL’s proprietary system, Sigview.
• Asset and property management, and
• Safety, access, performance, and environmental management.

The CRN network includes:
• 2,386 route kilometres of operational passenger and freight rail lines, including 996 km of branch line track used predominantly for haulage of grain, with lower mass and speed limits than other parts of the network
• 3,139 route kilometres of non-operational lines
• 27,000 hectares of land and infrastructure
• 1,312 level crossings (300 active)
• 1,200 property assets (including 356 heritage sites)
• 600 rail under bridges and 384 road overbridges
The CRN is a crucial piece of infrastructure to regional NSW and UGL Regional Linx is committed to ensure that it delivers for all customers, from rail passengers to farmers and industry.
