Job Title: Commercial Lending Paralegal

FLSA Status: Exempt

Department: Risk

Hours of Operation: Monday – Friday, 8:00am – 5:00pm

 

General Job Summary:

This position works with in-house counsel for the lending divisions and assists in managing the use of outside legal counsel by individuals throughout the bank, as well as drafting complex loan document provisions and bank forms. The position reports to Deputy Counsel and supports operational, corporate and regulatory matters within lending and ensures that loans that are documented externally or internally are documented according to policy and the requirements in the loan approval. The position provides risk assessment and recommendations concerning loans. This position shall have strong knowledge of Bank Loan Policy and assist others internally and externally with compliance with that Loan Policy. 

Organizational Duties and Responsibilities:

  • Supports the mission, vision and philosophy of the Bank. Complies willingly with all organizational policies and procedures.
  • Supports all functions that maintain compliance with regulatory agencies.

 

Essential Duties and Responsibilities:

  • Assists in-house counsel to provide all lending areas guidance on legal compliance according to Bank Loan Policy and specifics of loan approval
  • Draft Loan Document forms and special provisions as required
  • Review approvals of credit in Credit Quest and provide support documenting the Loan according to the approval
  • Monitor and review loan documentation to ensure compliance with all laws and regulations as well as Loan Policy and ensure closed loans are consistent with their approved terms and conditions
  • Advise lending staff on the proper legal structure of notes, participations, UCC filings and other legal documents
  • Assist in formulation of bank policy as to various legal, risk, compliance and credit issues
  • Work with internal and external parties to ensure standardization of language in compliance with Loan Policy and to mitigate risk
  • Review loan documents, title, surveys, organizational documents and other legal due diligence prior to and after closing of loans to ensure and confirm compliance
  • Review and monitor collateral technical exceptions
  • Verify liability insurance of outside counsel on an annual basis.
  • Maintain outside counsel approved list
  • Perform administrative duties for Deputy Counsel

 

Minimum Job Requirements:

Education: College Degree or Paralegal Degree preferred

Experience: Minimum 5 years’ experience working with Loan Documents and closings in a law firm setting

Specific Skills:

  • Knowledge of banking and corporate law
  • Strong organizational skills
  • Excellent verbal and written communication skills
  • Ability to multi-task
  • Familiarity with revocable and irrevocable trusts
