Job Summary

Legal Officer (Merger) ensures the transformation complies with regulatory and ethical standards. Also, ensure that all legal documents are flawlessly and meticulously executed.

Job description:

• Merger Task & Legal Document Preparation: Coordinate all legal processes related to mergers, restructurings, or corporate transformations. Investigate, analyze, and prepare all legal and operational documentation required for the transformation process.
• Regulatory Coordination: Ensure compliance with applicable laws, regulations, licenses, and regulatory approvals.
• Reporting: Compile the monthly compliance report, legal and compliance risk dashboard, legal opinions, documents, KRI compliance, and any other reports required by the SCBX group
• Risk Mitigation: Identify legal risks arising from the transformation and propose practical mitigation strategies.
• Advisory Support: Serve as the go-to resource for legal guidance, assisting with contract reviews, regulatory interpretations, and risk assessments to support the company’s strategic objectives.
• Ad-hoc Projects: Execute special projects as required by the SCBX Group, such as GRC, Sustainability & Climate Protection, and New Product Process (NPP).

Qualifications:

• Bachelor or master’s degree in Law / Business Law.
• A minimum of 2-3 years’ experience as a compliance officer, compliance manager, or similar position
• Experience in M&A
• Legal Frameworks: In-depth understanding of relevant laws, regulations, and compliance standards related to M&A.
• Risk Management: Understanding of risk assessment methodologies, particularly in the context of legal and compliance risks related to M&A.
• Regulatory Bodies: Familiarity with key regulatory authorities such as ETDA, PDPC, BOT, and SEC, including processes for securing necessary licenses.
