Join us.</p><p> </p><br><p><strong>YOUR IMPACT</strong><br>•    Manage financial activities throughout the deal lifecycle, including assisting with diligence and close processes.<br>•    Build strong working relationships to drive key finance related M&A and post close integration initiatives. This includes partnering with cross functional teams including corporate development, corporate accounting & reporting, international controllership, corporate and indirect tax, transfer pricing, treasury, financial planning & analysis, revenue recognition, legal, and operations, among others.</p><p><strong>Diligence to Close- YOU ARE GREAT AT</strong><br>•    Contribute to finance team functions during the diligence process by partnering with Corporate Development M&A to evaluate the financial merits of potential transactions. This includes identifying diligence findings impacting business modelling and valuations as they relate to internal and external financial reporting, US GAAP accounting, cashflows, and working capital projections.<br>•    Identify cross-functional interdependencies and gaps between finance and operational teams that require attention before or after deal close.<br>•    Review definitive agreements ensuring adequacy of representations and indemnities to cover financial and reporting risks identified during diligence.<br>•    Support net working capital analysis and negotiations, including determining target net working capital levels and executing post-close calculations and settlements.<br>•    Collaborate with cross-functional teams to develop and execute transition service agreements as required.<br>Post Close Integration of Finance & Reporting Activities<br>•    Support purchase price accounting including the preparation and accounting for purchase consideration and delivery of the opening balance sheet.  This includes the post close transition to US GAAP accounting standards and OpenText policies, as required.<br>•    Coordinate with external valuation consultants and internal business teams to assess valuation assumptions for acquired intangibles.<br>•    Prepare post close legal entity valuations and record journal entries to pushdown acquired intangibles and goodwill to legal entities, as required.<br>•    Contribute to the preparation of pro forma financial statements and other assigned projects.<br>Controllership Support<br>•    Act as a point of contact with external auditors with respect to all M&A deliverables to support the timely completion of the annual audit and quarterly reviews of the consolidated financial statements. This includes preparing reporting deliverables—such as discontinued operations, assets held for sale, and regulatory pro forma financial statements—in compliance with applicable accounting standards and disclosure requirements.<br>•    Assist in preparing legal entity valuations for statutory legal entity mergers or liquidations, and in support of annual statutory legal entity goodwill impairment testing. <br>•    Support other finance-related projects as assigned.<br><br><strong>WHAT YOU NEED TO SUCCEED</strong><br>•    5+ years of relevant experience in M&A and valuation roles (buy & sell side), ideally with exposure to both public accounting and industry roles in large organizations.<br>•    Accounting designation required (CPA, CA, or US CPA preferred).<br>•    CBV or similar valuation designation preferred.<br>•    Working knowledge of US GAAP accounting preferred.<br>•    Proven self-starter with the ability to balance multiple tasks of competing priorities in a changing and dynamic environment.<br>•    Strong communication and interpersonal skills with the ability to effectively facilitate or lead cross functional teams.<br>•    Proven capability to build and manage relationships with professional services partners to achieve high-quality, timely and efficient delivery of engagements when required.<br>•    Experience interacting with senior management and executive levels with the ability to assess business risk and escalate to management with appropriate alternatives.<br>•    Strong analytical and decision-making abilities with a high attention to detail.</p><p><strong>ONE LAST THING</strong><br>OpenText is more than just a corporation—it’s a global community where trust is foundational, the bar is raised, and outcomes are owned.
