The role involves governance and company secretarial activity across Mace’s global consult business, ensuring rigorous compliance and effective board support following the demerger. Acting as a trusted advisor, it oversees statutory operations across Europe, MEA, APAC and the Americas, enabling strong governance for a fast growing, dynamic organisation.

You’ll be responsible for:

  • Managing company secretarial and governance services across all consult entities.
  • Acting as statutory Company Secretary, ensuring compliance and maintenance of statutory records.
  • Managing board and committee meetings, including agendas, board packs, minutes and actions.
  • Maintaining and develop governance frameworks, policies and procedures across the business.
  • Advising senior leaders on governance, regulatory and company law matters.
  • Overseeing corporate actions including share capital changes, acquisitions, disposals and reorganisations.
  • Supporting M&A activity, including due diligence and integration.
  • Coordinating with finance, tax and treasury on group structure, funding, distributions, KYC and reporting.
  • Preparing governance related content for annual reporting and statutory disclosures.
  • Managing overseas service providers and support director appointments and inductions.
  • Managing governance projects and contribute to strategic initiatives.

You’ll need to have:

  • Chartered governance professional with senior multinational company secretarial experience.
  • Strong knowledge of UK and multi-jurisdictional governance frameworks.
  • Skilled in board support, stakeholder engagement and clear communication.
  • Proficient in entity management systems with strong judgement and commercial awareness.
