About your team

You will be part of the India Legal Team, within the Commercial Legal vertical, leading the drafting, review, and negotiation of commercial contracts supporting Fidelity International’s internal business units (Technology, HR, CPS, Marketing, Finance, and others) and sourcing functions across global offices.

As part of Fidelity’s General Counsel function, you will also work closely with business, legal, tax, compliance, and commercial counterparts based in Asia Pacific, the United Kingdom, Continental Europe, Canada, and other jurisdictions. This includes cross-border support involving commercial contracts, business legal documentation, Company Secretariat matters, and other legal support.

The team’s focus is on providing agile, pragmatic, and business-aligned legal support while minimizing reliance on external counsel and ensuring minimum legal and regulatory exposure to the organisation.

About your role
 

This is a fast-paced role within the Commercial Legal team, requiring high-quality legal analysis, risk assessment, and cross-border engagement. You will need a strong sense of commercial understanding, attention to detail, adaptability, and the ability to operate confidently under time-sensitive conditions. A sense of humour will be an added bonus.

Key aspects of your role include:

  • Providing front-end legal support for drafting, reviewing, and negotiating a wide range of procurement and commercial agreements, with focus on emerging technologies such as cloud services and GenAI.

  • Interfacing directly with global stakeholders and advising on legal and compliance issues related to onboarding third-party tech solutions or developing these in-house, including those involving staff augmentation and temporary workforce arrangements.

  • Collaborating with colleagues across functions and geographies to deliver pragmatic, business-aligned legal solutions.

  • Contributing to process improvements, knowledge sharing, and adoption of legal technology within the team.

Key Responsibilities

  • Draft, review and negotiate a variety of commercial contracts across both technology and non-technology engagements including Cloud Outsourcing Agreements, SaaS, IaaS, Software Licences, Master Services Agreements, Statements of Work, Consulting and Facilities Agreements, Change Orders, and Data Processing Agreements.
  • Advise business and sourcing teams on onboarding RFPs, third-party AI and GenAI solutions or developing these in-house, including IP, data, ethics, and regulatory considerations.
  • Interpret and apply international Tech and Cloud Outsourcing regulations across the UK, EU, and APAC (e.g., DORA, ESMA, EBA, EIOPA, MAS) in the context of commercial contracting.
  • Support contracts related to staff augmentation, consulting, professional services, and temporary staffing models across jurisdictions and understanding of local regulatory nuances (e.g., TUPE, Principal Employer obligations).
  • Collaborate with procurement to resolve legal and commercial issues and ensure compliance with company policies.
  • Provide legal advice on matters related to existing procurement contracts and ongoing supplier service engagements.
  • Provide support in managing commercial disputes and arbitration matters, including coordination with external counsel where required.
  • Coach and guide junior legal team members.
  • Represent the legal function or lead legal inputs into project teams when needed.
  • Contribute to team efficiencies through process improvement and knowledge sharing initiatives.
  • Demonstrate adaptability, collaboration, and a proactive approach in all interactions.

About you

In this role you will be required to have:

  • LLB with 7-9 years of post-qualification experience, preferably in an in-house role within a multinational organisation (Financial Services, Asset Management, or Information Technology industries preferred).Seasoned in-house lawyer with demonstrated expertise in complex commercial contracts across both technology and non-technology engagements, including cloud services (SaaS, IaaS, PaaS), outsourcing, software licensing, market data, consulting, facilities management, and staff augmentation arrangements.
  • Working knowledge of global cloud outsourcing regulatory frameworks (e.g., ESMA, EBA, DORA, PRA, MAS) and their application to technology contracts.
  • Familiarity with current technology trends including AI, GenAI, platform integration, data processing, and their legal and regulatory implications.
  • Excellent drafting and negotiation skills; strong oral and written communication; sound legal judgment and commercial & business awareness.
  • Commercial judgement, business acumen, pragmatic and a solutions-oriented mindset.
  • High ethical standards and professional integrity.
  • Strong attention to detail with ability to manage multiple projects / engagements simultaneously.
  • Self-motivated team player with a willingness to learn and adopt legal tech solutions (e.g., Harvey, ChatGPT).
  • Experience with contract management systems, e-signature platforms, and other legal technology tools is desirable.
