An exciting opportunity to join the CMS Partnership Office team in London.
The Partnership Office Executive Assistant reports to the Head of Partnership Office and is responsible for the efficient administration of the LLP, particularly with regard to constitutional and management record-keeping, the appointment and retirement of Members and overseas partners, ensuring compliance with all regulatory requirements for its Members, overseas partners and the firm’s constitutional documents.
About the role
Generally, your role will be to assist and support the Head of Partnership Office on the full suite of responsibilities and operations of that role. Your key responsibilities will include:
Core Governance and Statutory Compliance:
• Gaining an in depth knowledge of our core governance including Members’ Agreement and constitutional documents.
• Ensuring compliance with all statutory and regulatory obligations (e.g. Companies House filings, SRA updates, legal service authority registration, execution of deeds, leases and guarantees).
• Ensuring all records are kept up to date in relation to appointments/retirements in the main LLP and associated overseas law practices.
• Initiating Companies House filings with the Company Secretary team and Companies House for new/retiring Members.
• Maintain alignment with the firm’s constitutional documents and Members’ Agreement, ensuring all processes adhere to agreed governance frameworks.
• Ensuring compliance with the SRA Authorisation Rules regarding deemed approved individual managers, RFL requirements and MLRO approvals for designated Board Members.
• Advising the HR Practising Certificates team on the SRA and LawScot requirements for new/retiring SRA Managers ensuring the firm’s obligations are met.
Board & Committee Support:
• Administrative support for Board meetings and Members’ meetings providing necessary budget and accounts approvals.
• Assisting the Head of Partnership Office and General Counsel with the preparation of agendas and Board packs ensuring papers are prepared, circulated and uploaded to the Board (and sub-committee) Teams channels and actions are progressed and follow up as appropriate with regard to partner issues.
Meeting Coordination and Planner Management:
• Maintain an annual Partnership Office planner: coordinate important events and deadlines (e.g. partner meetings, statutory filings) to avoid conflicts and ensure effective planning.
• Maintaining a Board register to accurately record the dates, terms and renewal dates of the leadership team to include Board Members, Practice Group Leaders, Non-Executive Directors and Regional Managing Directors.
• Contributing to regular/weekly meetings with the Head of Partnership Office to agree actions and update HO on appropriate issues and tasks.
• Attending regular/weekly meetings with the Partnership Finance, Talent Acquisition and HR Operations to update on appropriate issues.
Partner Onboarding and Ongoing Support:
• Guide new partners – both lateral hires and promotions – on their obligations under the Members’ Agreement, governance protocols, and firm structure.
• Liasing with Talent Acquisition and HR throughout the onboarding process in relation to client references, assessment centres, business case documentation and recording and communicating as necessary.
• Liasing with Head of Partnership Office, Practice Group Leaders and sponsor partners to finalise terms and initiate conflict, tax and mobility checks are completed as necessary.
• Providing support to new partners (internal promotions and lateral hires) with regard to their obligations as a Member of the LLP and directing them to relevant resource material to Partnerspace.
• Supporting the wider partnership team as needed, ensuring seamless integration of partners into firm processes, including compliance with regulatory requirements irrespective of jurisdiction.
• Assisting with renewal of Partner letters and documentation detailing new terms, progression through the Partner Model/lockstep and liaising with HR on documentation for client/intra-group secondments.
• Assisting with retirement arrangements and other changes ensuring effective recording of progressions, deferrals, and rebasing in relation to lockstep movements and departures.
• Maintain a sabbatical register as an accurate record of entitlements that have been approved and taken. ensuring eligibility criteria met and relevant approvals obtained.
• Assisting with practice governance issues in relation to subsidiary companies in the UK and other jurisdictions, filings, new member/retirements, changes of address, Board Secretary etc.
• Ensure partner changes are communicated in a timely manner to key stakeholders of the business including Talent Acquisition, Partnership Finance and HR Operations.
Communication, Reporting & Strategy Assistance:
• Assist with the preparation of internal and external reports/presentations on partnership activities, updates and compliance status.
• Assisting with strategic initiatives and research potential partnerships or collaborations in alignment with firm objectives.
• Maintaining Register of Members, list of partners, and the administration of Partnership elections (using online election tools).
• Managing partnership votes for Member decisions that require majority resolution including incoming partners and any associated regulatory requirements with regard to status and location.
• Consulting with Practice Group Leaders and Senior Partnership Finance Accountant on profit share changes including remuneration packages for new/retiring partners, status conversions and flexible working arrangements.
• Supporting the annual Equity Review process and organising the circulation of annual Equity Review notifications ensuring subsequent changes within the Partner Model are documented accordingly.
• Organising the upload of confidential documents and Board minutes for the firm’s annual audit and SAR audit purposes.
Records, Risk & Confidentiality Management
• Maintain accurate records of partnership agreements, governance actions, partner meetings, statutory filings, and other formal documents.
• Manage risk & confidentiality: ensure sensitive information is managed discreetly and in line with firm policies.
• Maintaining a comprehensive library of templates for partners based on the local entity, status and location for new/retiring partners, and consulting with the firm’s legal advisors for updating the same.

Skills and knowledge:
• Previous experience of working within a fast paced legal environment is essential
• Excellent organisation and analytical mind with proven time management skills
• Exceptional attention to detail to ensure accuracy when keeping records to enable optimised data gathering/flows/analysis/reporting
• Strong prioritisation skills and ability to remain calm under pressure
• Advanced level written and verbal skills
• Strong communication and interpersonal abilities with confidence to converse with senior leaders of the business across multiple areas and specialisms and ability to work in a team, but also as a self-starter as appropriate
• Proactive, solutions-focused, and able to work independently with confidence
• Ability to manage multiple priorities in a demanding environment
• Acts as a positive role model at all times
• Proficient in relevant Microsoft 365 business software including Outlook, Word, PowerPoint, Excel, i-Manage, ChromeRiver, Elite, Bridge, Introhive and other role related software
• Tech-savvy and AI-curious mindset and strong expertise in using the standard suite of business IT software products.
• Maintain confidentiality and discretion at all times
• A strong interest in understanding the fundamentals of how a partnership operates and the terms of it’s Members Agreement.
• Demonstrate a growth mindset to develop knowledge and understanding of an international law firm’s structure and related entities.
