Summary:

Global Tax Strategy & Planning

● Effective Tax Rate Management: Design and implement a proactive, globally optimized tax structure, including transfer pricing and Intellectual Property placement strategies, to sustainably drive a lower and well-managed ETR commensurate with public peer companies.

● Business Partnership: Act as the primary tax partner to Product, R&D, and Sales & Marketing teams to align tax planning with core business activities. Specifically, ensure the tax implications of new products are optimized in all selling jurisdictions.

● Tax Credit Optimization: Proactively collaborate with R&D and People teams to maximize the utilization of global R&D and other tax credits by strategically positioning personnel and activities across global jurisdictions.

● M&A Integration: Lead the identification and remediation of tax exposures and ensure seamless, compliant tax integration for all acquired companies, with an immediate focus on the vLex group.

Global Tax Risk Management & Compliance

● Compliance and Reporting Oversight: Own and oversee all domestic and international tax compliance obligations, ensuring timely and accurate filing across all operating jurisdictions.

● Tax Audit: Develop and execute a robust strategy for managing, responding to, and resolving all tax audits.

● Nexus & Exposure Remediation: Conduct a global nexus study to identify and remediate exposures arising from employee mobility and increases in operating entities. Implement controls to prevent inadvertent permanent establishment risks in non-filing jurisdictions.

● Legislative Readiness: Monitor, interpret, and ensure compliance with complex, new international tax legislation (e.g., Pillar 2 global minimum tax, Eifel interest limitation rules), building the necessary documentation and reporting infrastructure.

● Enterprise Risk Mitigation: Identify, assess, and mitigate all potential tax risks and exposures across the global group of companies through strong governance and internal controls.

Financial Reporting & IPO Readiness

● Tax Provision (ASC 740): Own the global income tax provision process, ensuring the highest level of rigor and internal controls required for a public company. Manage all aspects of tax accounting in accordance with US GAAP.

● Controls and Documentation: Design, implement, and maintain world-class tax documentation and internal controls, ensuring the tax function is fully prepared to comply with SOX-like requirements post-IPO.
