About this role
Boston Dynamics is looking for an experienced Corporate Counsel to assist with our Corporate, Governance, and Investor Management functions. As part of a highly dynamic team, this individual will be responsible for working with the Company’s General Counsel and Assistant General Counsel in creating and managing Board and Shareholder materials, Board and Shareholder meetings, managing the legal books and records for the Company’s international subsidiaries, interacting directly with our investors, and assisting as needed with all aspects of the Company’s corporate and commercial needs. This role will report to our Assistant General Counsel, and will be based in our Waltham, MA world headquarters.
Day to day activities may include:
Manage the creation and distribution of Board and Shareholder Materials, including quarterly materials and annual statements.
Oversee compliance with Delaware corporate law and international incorporations.
Organize and maintain all corporate records.
Manage engagement with shareholders, including numerous parallel preparations and deliverables schedules.
Address questions and provide training related to corporate matters.
Occasional commercial and negotiating opportunities.
Minimum Requirements:
Juris Doctor from an accredited U.S. school of law.
5+ years of experience in corporate law.
Strong understanding of governance documents (Articles of Incorporation, Bylaws, Resolutions, Minutes, etc.)
Experience with incorporation / good standing / corporate compliance matters.
Solid understanding of securities laws and/or experience representing both privately and publicly traded corporations.
Strong writing and presentation making skills.
Admission to practice law in the U.S. If not currently admitted in MA, must be eligible for admission in Massachusetts.
Current member of and good standing in a state bar.
Internally driven personality.
Strong communication and organizational skills.
Capacity to function as part of a team, especially in a highly dynamic environment.
Demonstrated ability to manage and meet multiple deadlines.
Strong interest in Robotics.
Strong desire to join a high growth company.
