We are seeking a dedicated and experienced Corporate Officer to join our growing team and play a key role in supporting the governance and administration of our Alternative Investment Fund structures. This position offers the opportunity to take ownership of a diverse portfolio, work closely with senior stakeholders, and contribute to the continued development of a high‑performing corporate services function within an international environment.
As a Corporate Officer (Alternative Investment Funds), you will play a central role in the corporate governance and administration of the funds and structures under our management. Your responsibilities will include:
  • Managing and coordinating the day‑to‑day administration of funds and related vehicles, including board and shareholder meetings, investment transactions, and interactions with external stakeholders (notaries, LBR, occasional liaison with central administrators).
  • Attending and supporting board and shareholder meetings.
  • Overseeing the approval and filing process for annual accounts and organizing related governance meetings.
  • Drafting minutes, circular resolutions, and other corporate documentation for Board and Shareholder meetings.
  • Reviewing corporate documents prepared by colleagues to ensure accuracy and compliance.
  • Ensuring strong corporate governance standards are maintained and all regulatory requirements are consistently met.
  • Reviewing deliverables and overseeing established processes to ensure quality and efficiency.
  • Collaborating closely with onshore and offshore teams, maintaining internal KPIs, and supporting the Team Leader in operational matters.
  • Building and maintaining strong relationships with Boards, internal departments, intermediaries, and local authorities.

We are seeking a committed professional with the following profile:

  • Minimum 5 years of experience in Corporate Secretarial services for Alternative Investment Funds in Luxembourg, ideally within a domiciliation or fund administration environment.
  • Bachelor’s or Master’s degree in Corporate Law, Economics, Administration, or a related field.
  • Strong knowledge of the Luxembourg fund industry and Luxembourg corporate law.
  • Highly organized, able to manage multiple priorities and meet deadlines in a fast‑paced environment.
  • Exceptional attention to detail and a commitment to accuracy.
  • Ability to work autonomously while contributing positively to a team-oriented environment.
  • Excellent interpersonal skills, with the ability to communicate effectively with clients and colleagues at all levels.
  • Strong client‑focused mindset and a pragmatic approach to problem‑solving.
  • Outstanding administrative and organizational skills, with the ability to identify opportunities for process improvement.
  • Fluency in German and English is mandatory.
  • Proficiency in MS Office (Word, Excel, Outlook, Teams) and the ability to learn new systems quickly.
